merupakan anak perusahaan PT Putra Mandiri Jembar

Indonesia (“MCAI") yang merupakan anak perusahaan
Mitsubishi Corporation (“MC”), telah dilakukan transaksi
afiliasi sebagai berikut:

Retferring to: (i) the provisions of Article 4 paragraph 1 of
Financial — Services — Authority — Regulation — no.
42/POJK.04/2020 concerning Affiliate Transactions and
Conflict of Interest Transactions and (ii) Decree of the
Directors of PT Bursa Efek Indonesia No. Kep-
00015/BE/01- 2021 dated January 29, 2021 Jo. Kep-
00066/BEI/09-2022 dated September 30, 2022
conceming Amendments to Regulation Number IE
conceming the Obligation to Submit Information, we
hereby report that PT Dipo Internasional Pahala Otomotif
(“DIPO”) which is a subsidiary of PT Putra Mandiri Jembar
Tbk (“Company”) and PT MC Auto Consulting Indonesia
((MCAP), which is a subsidiary of Mitsubishi Corporation
(“MC”), have carried out the following affiliate transactions
as follows:
Obyek Transaksi DIPO bersama MCAI, PT Srikandidiamond Indah Motors (“SDIM”) dan PT
Sun Star Prima Motor (“SSPM”) telah menandatangani Perjanjian Para
Pemegang Saham tanggal 27 November 2023 untuk mendirikan
perusahaan patungan (“Transaksi”) yang bernama PT Digital Sumber
Sejahtera Motor (“PT DSSM”) sebagaimana ditindaklanjuti dengan
penandatanganan Akta Pendirian Perusahaan PT Digital Sumber Sejahtera
Motor No. 67 tanggal 27 November 2023 yang dibuat di hadapan Recky
Francky Limpele, Sarjana Hukum, Notaris di Jakarta Pusat.
Susunan pemegang saham dalam PT DSSM adalah sebagai berikut:

PT Sun Star Prima Motor Hubungan antara Pihak-Pihak yang Bertransaksi (a) Saham DIPO dimiliki sebagian besar oleh Perseroan yang mana Perseroan memiliki 82,4696 (delapan puluh koma empat enam persen). (b) Saham MCAI dimiliki sebagian besar oleh MC yang mana MC memiliki 99,94 (sembilan puluh sembilan koma sembilan persen) kepemilikan saham dalam MCAI. (c) MC juga merupakan pemegang saham utama dalam Perseroan yang mana MC memiliki 3496 (tiga puluh empat persen) kepemilikan saham dalam Perseroan. PT Dipo Internasional Pahala Otomotif PT MC Auto Consulting Indonesia PT Srikandidiamond Indah Motors PT Sun Star Prima Motor batal ta Relationship between Transaction Parties (a) DIPO shares are mostly owned by the Company, of which the Company owns 82.464 (eighty-two point four six percent). (b) MCAI shares are mostly owned by MC where MC has 99.996 (ninety- nine point nine percent) share ownership in MCAI. (c) MC is also the main shareholder in the Company where MC has 3496 (thirty-four percent) share ownership in the Company. Transaksi ini bertujuan untuk mengembangkan usaha DIPO di masa depan.
