Berdasarkan Akta Pernyataan Keputusan Seluruh Pemegang
Saham Perseroan Terbatas PT Hotel Cilacap Indah Nomor :
13 tanggal 23 November 2023, yang dibuat dihadapan Retno
Hertiyanti, SH, MH, Notaris di Semarang, pemberitahuan
mana telah diterima oleh Menteri Hukum dan Hak Asasi
Manusia Republik Indonesia melalui Surat Penerimaan
Pemberitahuan Perubahan Anggaran Dasar No. AHU-AH.
01.03-0147315 tanggal 27 November 2023, telah menyetujui
konversi atas sebagian dari hutang PT. Hotel Cilacap Indah
kepada PT. Dafam Mambo Internatioanl sebesar Rp.
24.100.000.000,- menjadi penyertaan modal sebanyak
241.000 saham dengan nominal Rp.100.000,- perlembar,
sehingga susunan modal disetor berubah menjadi :
- PT Dafam Mambo International sebesar
Rp.38.059.000.000,- (99,63%)
- PT Dafam
sebesar Rp.141.000.000,- (0,37%)
Transaksi tersebut diatas berdasarkan ketentuan Pasal 6 ayat
1 huruf (b) angka 3, POJK Nomor.42/POJK.04/2020
merupakan transaksi yang dikecualikan
Dampak kejadian, informasi atau fakta tidak berdampak
material tersebut terhadap kegiatan
operasional, hukum, kondisi keuangan,

Facts Articles of Association of PT Hotel Cilacap Indah (subsidiary)
regarding paid-in/placed capital:
Based on the Deed of Decision Statement of All Shareholders
of Limited Liability Company PT Hotel Cilacap Indah Number:
13 dated 23 November 2023, made in front of Retno
Hertiyanti, SH, MH, Notary in Semarang, notification of which
was received by the Minister of Law and Human Rights of the
Republic of Indonesia via Letter Receipt of Notification of
Amendment to Articles of Association No. AHU-AH.01.03-
0147315 dated November 27 2023, has approved the
conversion of part debt PT Hotel Cilacap Indah to PT. Dafam
Mambo International amounting to Rp. 24,100,000,000,-
becomes capital participation of 241,000 shares with a nominal
value of Rp. 100,000,- per share, so that the structure of paid-
in capital changes to:
- PT Dafam Mambo International amounting to IDR
38,059,000,000 (99.63%)
- PT Dafam amounting to Rp. 141,000,000,- (0.37%)
The transactions mentioned above are based on the
provisions of Article 6 paragraph 1 letter (b) number 3, POJK
Number.42/POJK.04/2020, which are exempt transactions.
