Saham Perseroan Terbatas PT Dafam Mambo International
Nomor : 12 tanggal 23 November 2023, yang dibuat
dihadapan Retno Hertiyanti, SH, MH, Notaris di Semarang,
pemberitahuan mana telah diterima oleh Menteri Hukum dan
Hak Asasi Manusia Republik Indonesia melalui Surat
Penerimaan Pemberitahuan Perubahan Anggaran Dasar No.
AHU-AH.01.03-0147309 tanggal 27 November 2023, telah
menyetujui konversi atas sebagian dari hutang PT. Dafam
Mambo International kepada PT. Dafam Property Indonesia
Tbk sebesar Rp.26.000.000.000,- menjadi penyertaan modal
sebanyak 26.000 saham dengan nominal Rp.1.000.000,-
perlembar. Sehingga susunan modal disetor berubah menjadi
:
- PT Dafam Property Indonesia Tbk sebesar
Rp.95.618.000.000,- (99,60%)
- PT Dafam sebesar
Rp.382.000.000,- (0,4%)
Transaksi tersebut diatas berdasarkan ketentuan Pasal 6 ayat
1 huruf (b) angka 3, POJK Nomor.42/POJK.04/2020
merupakan transaksi yang dikecualikan

Based on the Deed of Decision Statement of All Shareholders
of Limited Liability Company PT Dafam Mambo International
Number: 12 dated 23 November 2023, made in front of Retno
Hertiyanti, SH, MH, Notary in Semarang, notification of which
was received by the Minister of Law and Human Rights of the
Republic of Indonesia via Letter Receipt of Notification of
Amendment to Articles of Association No. AHU-AH.01.03-
0147309 dated 27 November 2023, has approved the
conversion part of debt PT Dafam Mambo International to PT.
Dafam Property Indonesia Tbk amounting to Rp.
26,000,000,000,- for capital participation of 26,000 shares with
a nominal value of Rp. 1,000,000,- per share. So the structure
of paid-in capital changes to:
- PT Dafam Property Indonesia Tbk amounting to IDR
95,618,000,000 (99.60%)
- PT Dafam amounting to Rp. 382,000,000,- (0.4%)
The transactions mentioned above are based on the
provisions of Article 6 paragraph 1 letter (b) number 3, POJK
Number.42/POJK.04/2020, which are exempt transactions.
