2. | Uraian Transaksi

Pada tanggal 23 November 2023, Perseroan telah melakukan

amendemen atas Perjanjian Fasilitas Kredit tertanggal 24

November 2022 (“Perjanjian Kredit”), dengan menandatangani

Perjanjian Perubahan Terhadap Perjanjian Kredit dengan PT KB

Bank Bukopin Tbk (“Bank Bukopin”).

Perubahan yang dilakukan adalah antara lain, untuk :

- Memperpanjang jatuh tempo atas Perjanjian Fasilitas

Kredit selama 1 tahun sampai dengan bulan November
2024.

Dokumen jaminan untuk perolehan fasilitas pinjaman ini adalah
Standby Letter of Credit dari CJ CGV Co., Ltd. (“CJ CGV”) selaku
pemegang saham pengendali Perseroan secara tidak langsung.

Tujuan dari pinjaman ini adalah untuk membiayai kebutuhan
modal kerja Perseroan.

Detail of Transaction On November 23, 2023 the Company has amended the Loan
Facility Agreement dated November 24, 2022 (“loan
Agreement”), by signing an Amendment Loan Facility with PT KB
Bank Bukopin Tbk (“Bank Bukopin”).
The changes made are, among others to :
- Extend the maturity of the Loan Facility Agreement for1
year until November 2024.

Guarantee document for obtaining this loan facility is a Standby
Letter of Credit provided by CJ CGV Co., Ltd. (“CI CGV”) as the
controlling shareholders of the Company indirectly.

The purpose of this loan is to fund the Company's working capital
needs.

3. | Penjelasan, Pertimbangan dan | Pertimbangan dan alasan dilakukan transaksi ini adalah untuk

4. | Keterangan lain-lain a. Transaksi antara Perseroan dan Bukopin bukan termasuk

Peraturan Otoritas Jasa Keuangan No. 17/POJK.04/2020
(“pojk 17/2020”), tentang Transaksi Material dan
Perubahan Kegiatan Usaha, dikarenakan nilai transaksi
tersebut kurang dari 204 dari ekuitas Perseroan
berdasarkan Laporan Keuangan Audited Perseroan per 31
Desember 2022, dan

b. Transaksi antara Perseroan dan Bukopin juga bukan
termasuk dalam transaksi afiliasi dan transaksi benturan
kepentingan sebagaimana dimaksud dalam Peraturan
Otoritas Jasa Keuangan No. 42/POJK.04/2020 (“POJK
42/2020”), tentang Transaksi Afiliasi dan Transaksi Benturan
Kepentingan.
