Uraian Informasi atau Fakta Material Berdasarkan Perjanjian Pengambilan Bagian Saham
tertanggal 19 April 2023, dibuat oleh Perseroan dengan PT
Folka Cipta Karya (FCK) (yang telah diungkapkan dalam
Prospektus dalam rangka IPO Perseroan), telah disepakati
pada pokoknya bahwa Perseroan akan melakukan investasi
pada FCK dalam 2 (dua) tahapan dengan jumlah investasi
keseluruhan sebesar Rp10.000.000.032,00 (sepuluh miliar tiga
puluh dua Rupiah).
Pada tanggal 17 November 2023, investasi tahap II telah
dilaksanakan berdasarkan Akta Pernyataan Keputusan Di
Luar Rapat Umum Pemegang Saham Luar Biasa PT Folka
Cipta Karya No. 08 tanggal 17 November 2023, dibuat di
hadapan Sutra Oktaviani, S.H., M.Kn., Notaris di Jakarta
Selatan, yang menerangkan pengeluaran 93 saham Seri C
dalam FCK dengan nilai nominal seluruhnya sebesar Rp
4.973.262.048,- (empat miliar sembilan ratus tujuh puluh tiga
juta dua ratus enam puluh dua ribu empat puluh delapan
Rupiah). Memperoleh Surat Keputusan dari Kementerian
Hukum dan Hak Asasi Manusia Nomor AHU-
0072795.AH.01.02.Tahun 2023 tanggal 23 November 2023,
dan telah menerima surat Penerimaan Pemberitahuan
Perubahan Anggaran Dasar dengan Nomor AHU-AH.01.03-
0146089 tanggal 23 November 2023 serta telah memperoleh
surat Penerimaan Pemberitahuan Perubahan Data Perseroan
dengan Nomor AHU-AH.01.09-0188547 tanggal 23 November
2023.
Dengan dilakukannya investasi tahap II tersebut, maka
Perseroan memiliki 187 (seratus delapan puluh tujuh) lembar
saham FCK atau setara dengan 10,09% (sepuluh koma
sembilan persen) dari seluruh saham yang telah dikeluarkan
dalam FCK.
Dampak kejadian, informasi atau fakta Tidak Ada
material tersebut terhadap kegiatan
operasional, hukum, kondisi keuangan,
atau kelangsungan usaha Emiten atau
Perusahaan Publik

Implementation of Phase 2 of Additional Ownership at PT

Description of Material Information or Based on the Share Subscription Agreement on 19 April 2023,
Facts made by company with PT Folka Cipta Karya (FCK) (which
has been disclosed in Prospectus pertaining to Company IPO),
it has been agreed in principle that Company will invest in FCK
in 2 (two) phase with investment amount totaling
Rp10.000.000.032,00 (ten billion and thirty-two Rupiah)
On 17 November 2023, investment phase II has been done
based on the Deed of Statement of Resolutions Outside the
Extraordinary General Meeting of Shareholders of PT Folka
Cipta Karya No. 08 on 17 November 2023, made and
witnessed by Sutra Oktaviani, S.H., M.Kn., Public Notary in
South Jakarta, which explains the issuance of 93 Stock Series
C in FCK with nominal value totaling Rp 4.973.262.048,- (four
billion nine hundred seventy three million two hundred sixty
two thousand forty eight Rupiah). Obtaining a Decree from the
Ministry of Law and Human Rights Nomor AHU-
0072795.AH.01.02.Tahun 2023 on 23 November 2023, and
has received an Acceptance of Notice of Amendment to the
Articles of Association with Nomor AHU-AH.01.03-0146089 on
23 November 2023, also has received a letter of Acceptance
of Notification of Changes to Company Data with Number
AHU-AH.01.09-0188547 dated 23 November 2023.
By doing the second phase of investment, Company holds 187
(one hundred and eighty seven) shares of FCK equivalent with
10,09% (ten point nine percent) of all shares issued by FCK.
