Uraian Informasi atau Fakta Material Berdasarkan keputusan Rapat Umum Pemengang Saham
Tahunan (RUPST) Perseroan yang dilakukan tanggal 16
November 2023, Perseroan akan melakukan pembelian
kembali saham atas saham-saham yang telah dikeluarkan
oleh Perseroan dan tercatat pada PT Bursa Efek Indonesia
(Bursa).
Pertimbangan utama Perseroan dalam melakukan pembelian
kembali saham adalah untuk melaksanakan program
kepemilikan saham oleh manajemen dan karyawan yang akan
dijalankan oleh Perseroan, dengan tujuan untuk memberikan
insentif dan penghargaan kepada para karyawan yang
memiliki peranan penting dan berkinerja baik, serta untuk
meningkatkan motivasi karyawan Perseroan.
Dampak kejadian, informasi atau fakta Perseroan meyakini bahwa pelaksanaan pembelian kembali
material tersebut terhadap kegiatan saham tidak akan berdampak material terhadap proforma laba
operasional, hukum, kondisi keuangan, per saham sebab pembelian kembali saham tidak
atau kelangsungan usaha Emiten atau berhubungan langsung dengan kegiatan operasional
Perusahaan Publik Perseroan.
Pelaksanaan pembelian kembali saham diperkirakan akan
berdampak minimal terhadap kegiatan usaha, operasional,
dan pertumbuhan Perseroan dikarenakan dana yang
dialokasikan untuk pembelian kembali saham tidak material
dan dengan demikian akan berdampak minimal terhadap
persyaratan modal kerja Perseroan.

Share Buyback Plan AMOR
Type of Material Information or Facts
Description of Material Information or In accordance with the decision of the Company Annual
Facts General Meeting Shareholder (AGMS) held on November 16
2023, the Company will buy back the shares that have been
issued by the Company and listed on the Indonesian Stock
Exchange (IDX).
The Company's main consideration to buy back the shares is
to implement share ownership program by management and
employees executed by the Company, aiming to provide
incentives and rewards to employees with important roles and
great performance, as well as to increase the motivation of the
Company's employees.
Impact of event, material information or The Company believes that the implementation of the share
facts towards Issuers or Public buyback with the financing costs incurred will not have a
Company’s operational activities, legal, negative impact on the Company's revenue decline and will
financial condition, or going concern not affect the operational activities financing of the Company
negatively.
The implementation of the share buyback is expected to have
minimal impact on the Company's business activities,
operations and growth as the allocated funds for the share
buyback are immaterial and therefore shall have minimal
impact on the working capital requirements of the Company.
