Uraian Informasi atau Fakta Material Pada tanggal 15 Juli 2026, PT Zyrexindo Mandiri Buana Tbk
secara resmi telah menjalin kemitraan strategis sebagai
Official Partner Odoo di Indonesia. Melalui kemitraan strategis
ini, Perseroan memperluas portofolio usahanya dari penyedia
perangkat keras (hardware) IT menjadi penyedia solusi
transformasi digital end-to-end terintegrasi berbasis Enterprise
Resource Planning (ERP). Dalam kapasitasnya sebagai
Official Partner Odoo, Perseroan berhak untuk menyediakan:
1. Penjualan lisensi resmi Odoo Enterprise;
2. Jasa konsultasi dan implementasi sistem ERP Odoo;
3. Kustomisasi modul dan integrasi sistem IT;
4. Layanan pelatihan pengguna (user training) dan dukungan
teknis (technical support) tingkat lanjut secara lokal;
5. Memperoleh dukungan teknis dan operasional langsung
dari Odoo.

Dampak kejadian, informasi atau fakta Penunjukan sebagai Official Partner Odoo memberikan
material tersebut terhadap kegiatan dampak positif yang signifikan bagi kegiatan operasional
operasional, hukum, kondisi keuangan, Perseroan dengan memperkuat posisinya sebagai penyedia
atau kelangsungan usaha Emiten atau solusi bisnis terpadu (all-in-one business solution) yang
Perusahaan Publik memadukan keunggulan hardware dan software. Langkah ini
mengoptimalkan strategi cross-selling kepada basis pelanggan
eksisting di sektor korporasi, pemerintah, dan pendidikan,
sekaligus memperluas jangkauan pasar ke sektor Usaha
Mikro, Kecil, dan Menengah (UMKM). Dari sisi keuangan,
penambahan lini jasa konsultasi dan implementasi ERP yang
berbasis value-added services berpotensi meningkatkan
marjin profitabilitas secara keseluruhan. Selain itu, Perseroan
berpotensi meraih pendapatan berulang (recurring revenue)
yang stabil melalui pembaruan tahunan langganan lisensi
Odoo dan kontrak pemeliharaan teknis. Secara hukum,
Perseroan terikat dalam perjanjian kemitraan resmi yang tidak
melanggar ketentuan perundang-undangan maupun
keterikatan dengan pihak ketiga, sehingga secara keseluruhan
mendukung strategi pertumbuhan jangka panjang dan
diversifikasi risiko untuk menjaga kelangsungan usaha
Perseroan.

Description of Material Information or On July 15, 2026, PT Zyrexindo Mandiri Buana Tbk officially
Facts established a strategic partnership as an Official Odoo Partner
in Indonesia. Through this strategic partnership, the Company
is expanding its business portfolio from an IT hardware
provider to a provider of integrated, end-to-end digital
transformation solutions based on Enterprise Resource
Planning (ERP). In its capacity as an Official Odoo Partner, the
Company is authorized to provide:
1. Sales of official Odoo Enterprise licenses;
2. Odoo ERP system consulting and implementation services;
3. Module customization and IT system integration;
4. Local user training and advanced technical support
services;
5. Direct technical and operational support from Odoo.
Impact of event, material information or The appointment as an Official Partner of Odoo has a
facts towards Issuers or Public significant positive impact on the Company's operations by
Company’s operational activities, legal, reinforcing its position as a provider of all-in-one business
financial condition, or going concern solutions that integrate hardware and software excellence.
This move strengthens cross-selling for our existing customers
across corporate, government, and education, and expands
our reach into the Micro, Small, and Medium Enterprise
(MSME) sector. From a financial perspective, the addition of
ERP consulting and implementation services - categorized as
value-added services - holds the potential to boost overall
profit margins. Furthermore, the Company stands to generate
stable recurring revenue through annual Odoo license
renewals and technical maintenance contracts. Legally, the
Company is bound by an official partnership agreement that
complies with applicable laws and does not conflict with
existing third-party obligations; thus, the partnership supports
the Company's long-term growth strategy and risk
diversification efforts, ensuring business continuity.
