acquired a number of MNC Play's
customers of PT MNC Kabel Mediacom
(“MKM”).
3. Uraian Informasi atau Fakta Pada tanggal 15 November 2023,
Material / Description of Perseroan telah menandatangani Akta
Material Information or Facts. Berita Acara Serah Terima dengan MKM
sehubungan dengan penyelesaian
transaksi pengalihan pelanggan MNC
Play kepada Perseroan sebagaimana
diatur dalam Perjanjian Pembelian Aset
antara Perseroan, MKM, PT Asianet
Media Teknologi dan Lightstorm
Indonesia I Pte. Ltd. yang telah
ditandatangani pada tanggal 24
Oktober 2023. Berdasarkan transaksi ini,
MKM telah mengalihkan sejumlah
pelanggan MNC Play kepada
Perseroan.
Nilai transaksi adalah sebesar
Rp876.865.000.000 (tidak termasuk PPN
dan tunduk pada mekanisme
penyesuaian sebagaimana disetujui
antara MKM dan Perseroan).
Sehubungan dengan transaksi ini,
Perseroan dan MKM juga telah
menandatangani sejumlah perjanjian-

perjanjian terkait untuk mendukung
pemberian layanan kepada pelanggan
MNC Play yang telah dialihkan oleh
MKM kepada Perseroan.

On 15 November 2023, the Company
executed the Deed of Minutes of
Delivery with MKM in relation to the
completion of transfer of MNC Play's
customers to the Company as
stipulated under the Assets Purchase
Agreement between the Company,
MKM, PT Asianet Media Teknologi and
Lightstorm Indonesia I Pte. Ltd. that has
been executed on 24 October 2023.
Pursuant to this transaction, MKM has
transferred a number of MNC Play's
customers to the Company.
The transaction value is in the amount of
IDR876,865,000,000 (excluding VAT and
subject to adjustment mechanism as
agreed between MKM and the
Company).
With regard to this transaction, the
Company and MKM have also
executed a number of related
agreements to support the provision of
services to the MNC Play's customers
that have been transferred by MKM to
the Company.
