No. KEP-00066/BEI/09-2022 tanggal 30 September 2022 perihal Perubahan Peraturan No. I-E tentang Kewajiban
Penyampaian Informasi (“Peraturan BEI No. I-E”), dengan ini, kami, PT Agung Podomoro Land Tbk. (“Perseroan”)
bermaksud untuk menyampaikan Laporan Informasi atau Fakta Material sebagai berikut: |
In order to comply with OJK Regulation No. 31/POJK.04/2015 dated December 16, 2015 regarding Disclosure of
Material Information or Facts by the Issuers or Public Companies (“POJK 31”) and Directors Decree of Indonesia
Stock Exchange No. KEP-00066/BEI/09-2022 dated September 30, 2022 regarding the Amendment to Regulation
No. I-E on the Obligation to Submit Information (“IDX Regulation No. I-E”), we, PT Agung Podomoro Land Tbk. (the
“Company”) hereby intend to submit the Report on Material Information or Facts as follows:

2. Jenis Informasi atau Fakta Perseroan, melalui APL Reality Holdings Pte. Ltd., entitas anak yang seluruh
Material: | sahamnya dimiliki oleh Perseroan, yang didirikan berdasarkan hukum negara
Type of Material Information Singapura ("APL Realty") bermaksud untuk mengajukan penawaran atas
or Facts: Obligasi Senior 5,95% (lima koma sembilan lima persen) yang Akan Jatuh
Tempo Pada 2024 yang diterbitkan oleh APL Realty, yang pada tanggal 15
November 2023, jumlah agregat pokok Obligasi yang beredar adalah
131.960.000 Dolar Amerika Serikat (“Obligasi”) dari para pemegang Obligasi
yang merupakan, atau yang bertindak untuk kepentingan atau manfaat dari,
orang-orang yang berada di luar Amerika Serikat yang memiliki kepentingan
manfaat atas Obligasi tersebut, untuk dibeli secara tunai hingga jumlah
agregat pokok Obligasi yang dapat dibeli hingga Rp 1 triliun, tidak termasuk
Bunga yang Masih Harus Dibayar (“Penawaran”). |
The Company, through APL Realty Holdings Pte. Ltd., a wholly-owned
subsidiary of the Company, established under the laws of Singapore ("APL
Realty"), intends to submit an offer of the 5.95% (five point nine five percent)
Senior Notes Due 2024 issued by APL Realty, which as of November 15, 2023,
the aggregate principal amount of the Notes outstanding was USD
131,960,000 (“Notes”), from the holders of Notes who are, or are acting for
the account or benefit of, persons that are addressees outside of the United
States with a beneficial interest in the Notes, to be purchased for cash up to
an aggregate principal amount of the Notes that it can purchase for up to IDR
1 trillion, excluding Accrued Interest (the “Offer”).
3. Uraian Informasi atau Fakta Sehubungan dengan Penawaran, Perseroan, APL Realty, dan entitas anak
Material: | Perseroan yang memberikan jaminan perusahaan atas Obligasi pada saat

Perkasa dan PT Jaladri Kartika Pakci (“Entitas Anak Penjamin”), bersama-
sama dengan Standard Chartered Bank (Singapore) Limited telah
menandatangani Dealer Manager Agreement tanggal 15 November 2023
atas Obligasi. |
In relation to the Offer, the Company, APL Realty and subsidiaries of the
Company who provided corporate guarantees over the Notes at the time of
the issuance of the Notes, namely PT Agung Kencana Sukses, PT Graha Tunas
Selaras, PT Karya Pratama Propertindo, PT Agung Pesona Unggul, PT Pesona
Agung Lestari, PT Griya Agung Sukses, PT Central Tata Makmur, PT Podomoro
Bangun Abadi, PT Podomoro Central Sejahtera, PT Podomoro Sukses Lestari,
PT Buana Surya Makmur, PT Tiara Metropolitan Indah, PT Karya Gemilang
Perkasa dan PT Jaladri Kartika Pakci ("Subsidiary Guarantors"), together with
Standard Chartered Bank (Singapore) Limited have executed the Dealer
Manager Agreement dated November 15, 2023 for the Notes.
Pendanaan untuk pembayaran sehubungan dengan pembelian Obligasi
berdasarkan Penawaran diharapkan dari hasil bersih fasilitas pinjaman yang
disediakan kepada Perseroan. |

Funding for payments in connection with the purchase of the Notes pursuant
to the Offer is expected from the net proceeds of a loan facility made available
to the Company.
Penawaran akan berakhir pada pukul 16:00 Waktu London, pada tanggal 21
November, 2023, kecuali diperpanjang, perpanjangan waktu mana dapat
dilakukan berdasarkan kebijakan sendiri, dan karena alasan apapun,
termasuk untuk mengizinkan pemenuhan atau pelepasan sebagian atau
seluruh ketentuan Penawaran. |
The Offer will expire at 4:00 p.m. London Time, on November 21, 2023, unless
being extended, which extension is in sole discretion, and for any reason,
including in order to permit the satisfaction or waiver of any or all conditions
to the Offer.

4. Dampak kejadian, informasi Mengingat volatilitas pasar saat ini, peningkatan suku bunga di pasar mata
atau fakta material tersebut uang Dollar Amerika Serikat (USD), dan ketidakpastian situasi politik di
terhadap Emiten atau Indonesia menjelang pemilu tahun 2024, Perseroan berupaya melakukan
Perusahaan Publik: | pengelolaan utang (liability management) ini sebagai bagian dari pengelolaan

Given the current market volatility, the rising in interest rates in the USD
markets, and the uncertainty on the political situation in Indonesia ahead of
the 2024 elections, the Company is seeking to conduct this liability
management exercise as part of its active management of liabilities and
capital to achieve a more sustainable cash flow profile and optimize its capital
structure and debt maturity profile.

hukum, kondisi keuangan, atau kelangsungan usaha Perseroan. |
The Offer does not have a negative impact on the operational activities, law,
financial condition, or going-concern of the Company.
5. Keterangan lain-lain: | Kecuali berakhirnya waktu Penawaran diperpanjang, pembayaran harga

ini akan dilakukan pada tanggal 28 November 2023. |
Unless the expiration date of the Offer is extended, payment of the purchase
price to the holders in connection with this Offer will be made on November
28, 2023.
