Perseroan sudah tidak lagi memiliki akses atas
informasi keuangan ataupun operasional anak
perusahaan.

The dispule conlinued when in September 2023,
Directors I and II, who were appointed from the minority
'shareholder of the subsidiaries, occupied the factory
and warehouse at TPG Tasikmalaya and materially
restricted access to financial data or information and
also to the operation of the factory. This resulted in the
Company no longer having access to the financial or
operational information of the subsidiaries

Keputusan pemegang saham minoritas melalui
Direksi | dan II yang diusungnya untuk menguasai
pabrik dan gudang di TPG Tasikmalaya secara
sepihak mengakibatkan beberapa order garmen
tidak dapat dikirim ke pemilik order/pembeli.
Tindakan ini menimbulkan risiko order/risiko
hukum dari pembeli karena keterlambatan
pengiriman barang jadi. Hal ini juga
mengakibatkan seluruh kegiatan operasional
pabrik terhenti, sehingga karyawan tidak ada
pekerjaan dan tidak dapat menerima upah.

The decision of the minority shareholder through its
Directors I and II to unilaterally take control of the
factory and warehouse at TPG Tasikmalaya resulted in
several garment orders not being delivered to the order
owner/buyer. This action resulted in order riskllegal risk
From buyers due to delays in the delivery of finished
goods. This also resulted in the entire factory operation
coming toa halt, causing employees had no work and
could not receive wages.

Perseroan telah melakukan upaya dengan itikad
baik untuk mengundang pihak-pihak terkait untuk
berdiskusi mengenai perselisihan ini. Namun,
karena adanya dugaan tindak — pidana
penggelapan dalam jabatan dari Direksi | dan II
yang diusung dari ' pemegang saham minoritas
entitas anak , dan dugaan perbuatan pidana yang
lain serta adanya hutang jatuh tempo yang tidak
dibayar dan untuk mencegah hal hal yang tidak
diinginkan maka Perseroan memutuskan untuk
melanjutkan upaya-upaya hukum guna
menyelesaikan perselisihan tersebut, antara lain
melaporkan kasus ini ke kepolisian serta juga
melakukan upaya hukum perdata lainnya. Oleh
karena itu, Perseroan telah menunjuk Hasbi
Setiawan Law Office sebagai Kuasa Hukum
untuk memperjuangkan keadilan hukum bagi
Perseroan dalam proses hukum tersebut.

The Company has endeavored in good faith by inviting
the relevant parties to discuss this dispute. However,
due to the allegation of criminal acts of embezzlement
from Directors I and II who are nominated by the
minority shareholder, and allegations of other criminal
acts as well as the existence of unpaid due and
payable debts and to prevent undesirable matters, the
Company decided to continue its legal remedy to

resolve this dispute, including reporting the case to the
police and also pursue other civil remedies. Therefore,
the Company has appointed Hasbi Setiawan Law
Office as its attorney to advocate for legal fairness for
the Company in the legal proceedings.

Perseroan berkomitmen untuk selalu memegang

(GCG) dan mematuhi ketentuan
perundang-undangan yang berlaku dalam
menjalankan segala proses hukum yang
ditempuh terhadap pemegang saham minoritas
tersebut.

compiying with applicable laws and regulations in
carrying out all legal processes taken against the
minorily shareholder.
