Jenderal Sudirman Kav. 52-53 Jakarta 12190 Perihal : Tanggapan Atas Permintaan Penjelasan Bursa Subject : Response to Indonesia Stock Exchange's Reguest Merujuk pada Surat PT Bursa Efek Indonesia Nomor: S-09891/BEI.PP3/11-2023 kepada PT PP (Persero) Tbk (“Perseroan”) tanggal 13 November 2023 perihal Permintaan Penjelasan atas Pemberitaan di Media Massa. Berdasarkan hal tersebut, dengan ini kami sampaikan tanggapan sebagai berikut: Referring to the Indonesia Stock Exchange's Letter Number S-09891/BEI.PP3/11-2923 to PT PP (Persero) tbk (“The Company”) dated 13" November 2023 regarding the Reguest for Explanation on Reporting in Mass Media, hereby we explain as follows: 1. Klarifikasi atas kebenaran berita tersebut: a. Klarifikasi kebenaran berita tersebut khususnya mengenai pernyataan Direktur Utama PTPP sehubungan dengan rencana divestasi aset sebesar Rp. 1,4 triliun hingga akhir tahun, dengan rincian: i. Pelepasan saham di entitas usaha sebesar Rp. 450 miliar, ii. Divestasi aset anak usaha sebesar Rp. 1 triliun. Penjelasan: Perseroan mengkonfirmasi bahwa target nilai Divestasi secara keseluruhan sesuai dengan Rencana Kerja Anggaran Perusahaan (RKAP) Perseroan tahun 2023 sebesar Rp. 14 triliun yang terdiri dari divestasi saham atau aset di perusahaan afiliasi, anak perusahaan, dan cucu perusahaan, dimana tahapan divestasi saat ini sedang dalam proses kajian dan pencarian calon pembeli. Perkembangan terkini mengenai target rencana divestasi aset tersebut. Penjelasan: Sampai dengan saat ini, divestasi yang sudah berhasil ialah sebesar Rp. 105,9 miliar sesuai dengan keterbukaan informasi yang pernah dipublikasikan pada website Bursa melalui surat Nomor 2265/EXT/PP/DKMR/2023 tanggal 28 Juni 2023. As of today, the divestment that has been done is IDR. 105.9 billion in accordance with the disclosure of information published on the Indonesia Stock Exchange website via letter Number 2265/EXT/PP/DKMR/2023 dated 28" June 2023. Cc. Kebenaran mengenai pemberitaan yang menyebutkan bahwa Perseroan sedang bernegosiasi dengan TPIA dan KRAS terkait pelepasan anak usaha PT PP Krakatau Tirta Industri (KTI). Penjelasan: Pemberitaan yang dimaksud merupakan pertanyaan wartawan atas status salah satu objek divestasi. Perseroan menyatakan bahwa proses divestasi masih dalam tahap seleksi dan negosiasi dengan calon pembeli. Proses tersebut bersifat terbatas dengan calon pembeli. The report in guestion is a journalists guestion regarding the status of one of the divestment objects. The company stated that the divestment process is still in the selection and negotiation stage with potential buyers. This process is limited to potential buyers. d. Agar Perseroan menyampaikan penjelasan lengkap terkait dengan rencana tersebut, sesuai dengan ketentuan yang berlaku. Penjelasan: Sesuai dengan peraturan perundang-undangan yang berlaku, Perseroan akan melakukan keterbukaan informasi setelah proses Divestasi berhasil dilakukan oleh Perseroan, sebagaimana yang telah dilakukan oleh Perseroan pada Divestasi sebelumnya. Informasi / kejadian penting lainnya yang material dan dapat mempengaruhi kelangsungan hidup perusahaan serta dapat mempengaruhi harga saham perusahaan. Penjelasan: Sampai dengan saat ini belum ada informasi / kejadian penting lainnya yang material selain yang telah Perseroan sampaikan ke bursa, Perseroan akan melaksanakan keterbukaan informasi sesuai dengan peraturan perundang-undangan yang berlaku. Until now there has been no other material information/important events other than what the Company has conveyed to the Indonesia Stock Exchange.
