Uraian Transaksi Afiliasi Pada tanggal 9 November 2023, UTPM dan SMI telah menandatangani Perjanjian Pinjaman dimana UTPM bertindak selaku pemberi pinjaman dan SMI bertindak selaku penerima pinjaman (“Perjanjian”). Untuk selanjutnya, UTPM and SMI secara bersama-sama akan disebut sebagai “Para Pihak”. In accordance with the Financial Services Authority Regulation No. 42/POJK.04/2020 concerning Affiliated Transaction and Conflict of Interest Transaction (“POJK No. 42/2020”), we hereby submit a report regarding affiliate transactions that have been carried out by and between PT Utama Pratama Medika (“UTPM”), its indirect subsidiary of PT Sarana Meditama Metropolitan — Tbk (“Company”), and PT Sarana Meditama International (“SMI”), its direct subsidiary of the Company, as follows: A. Details of Affiliated Transaction On 9 November 2023, UTPM and SMI have entered into a Loan Agreement where UTPM acts as the lender and SMI acts as the borrower (“Agreement”). Henceforth, UTPM and SMI will be collectively referred to as the "Parties". Page 1of3

Pulomas Barat VI No.20 Jakarta Timur 13210, Indonesia P :150789 W : www.emc.id Berdasarkan Perjanjian tersebut, UTPM telah setuju untuk memberikan fasilitas pinjaman sebanyak-banyaknya Rp200.000.000.000 (dua ratus miliar Rupiah) kepada SMI untuk investasi pembiayaan usaha dan modal kerja SMI (“Fasilitas Pinjaman”). Para Pihak telah menyepakati bahwa Perjanjian akan berlaku selama 3 (tiga) tahun sejak tanggal Perjanjian. Hubungan antara Para Pihak UTPM adalah suatu perseroan terbatas yang didirikan berdasarkan hukum negara Republik Indonesia dan berkedudukan di Jl. K.H. Hasyim Ashari No. 24, Kel. Buaran Indah, Kec. Tangerang, Kota Tangerang, yang 99,9997Y6 sahamnya dimiliki secara tidak langsung oleh Perseroan. SMI adalah suatu perseroan terbatas yang didirikan berdasarkan hukum negara Republik Indonesia dan berkedudukan di Jl. Alam Sutera Boulevard Kav. 25, Kel. Pakulonan, Kec. Serpong Utara, Tangerang Selatan, yang 99,999Yp sahamnya dimiliki secara langsung oleh Perseroan. Penjelasan, Pertimbangan, dan Alasan dilakukannya Transaksi dibandingkan dengan apabila dilakukan Transaksi Lain yang Sejenis dengan Pihak Tidak Terafiliasi Alasan dilakukannya transaksi afiliasi tersebut adalah karena SMI membutuhkan dana untuk kebutuhan investasi, pembiayaan usaha dan modal kerja. Dengan Fasilitas Pinjaman, SMI akan mampu melakukan kegiatan usahanya dan mencapai maksud dan tujuannya sesuai Anggaran Dasar, serta dapat memberikan nilai tambah bagi SMI di masa yang akan datang. Pernyataan Dewan Komisaris dan Direksi Direksi dan Dewan Komisaris Perseroan dengan ini menyatakan bahwa sepanjang pengetahuan dan keyakinan Direksi dan Dewan Komisaris Perseroan, semua informasi material sehubungan dengan Transaksi Afiliasi telah diungkapkan dan tidak menyesatkan. Pursuant to the Agreement, UTPM has agreed to provide a maximum of IDR200,000,000,000 (two hundred billion Rupiah) loan facility to SMI for its business financing and working capital investment (“Credit Facility”). Based on the Agreement, the Parties agreed that the Agreement will be valid for 3 (three) years since the date of the Agreement. Relationship between the Parties UTPM is a limited liability company established under the Iaws of the Republic of Indonesia and is domiciled at Jl. K.H. Hasyim Ashari No. 24, Kel. Buaran Indah, Kec. Tangerang, Kota Tangerang, whereby 99,999746 of its shares are indirectly owned by the Company. SMI is a limited liability company established under the laws of the Republic of Indonesia and is domiciled at Jl. Alam Sutera Boulevard Kav. 25, Kel. Pakulonan, Kec. Serpong Utara, Tangerang Selatan, whereby 99,99916 of its shares are directly owned by the Company. Explanations, Considerations, and Reasons for the Transaction compared to if executing Another Similar Transaction with an Unaffiliated Party The reason for executing the affiliated transaction is to financially support SMI, as SMI reguires the funds to finance its investment, business and working capital. With this Credit Facility, SMI will be able to carry out its business activities and achieve its purposes and objectives in accordance with the Articles of Association, and will be able to provide added value for SMI in the future. Statement of the Board of Commissioners and Board of Directors The Directors and Board of Commissioners of the Company hereby declare that to the best of the knowledge and belief of the Directors and Board of Commissioners of the Company, all material information relating to Affiliate Transactions has been disclosed and is not misleading. 4 Page 2 of 3

Informasi Tambahan Transaksi yang dilakukan oleh dan antara Para Pihak berdasarkan Perjanjian merupakan Transaksi Afiliasi sebagaimana dimaksud dalam POJK No. 42/2020, namun bukan merupakan Transaksi yang mengandung Benturan Kepentingan yang dimaksud oleh POJK No. 42/2020. Merujuk kepada ketentuan POJK No. 42/2020, Perjanjian merupakan transaksi afiliasi yang dikecualikan dari kewajiban: @ mengumumkan keterbukaan informasi kepada masyarakat mengenai transaksi afiliasi, serta (il) memperoleh penilaian independen mengenai nilai wajar dan/atau kewajaran transaksi, yang oleh karenanya, Perseroan hanya memiliki kewajiban untuk melaporkan transaksi afiliasi ini kepada OJK sesuai ketentuan Pasal 6 ayat (2) POJK No. 42/2020. Additional Information The transaction carried out by and between the Parties according to the Agreement constitutes an Affiliate Transaction as referred to in POJK No. 42/2020 but is nota Transaction containing a Conflict of Interest as intended by POJK No. 42/2020. 'According to the provisions of POJK No. 42/2020, the Agreement is an affiliate transaction which is exempt from the obligation to: (1) announce a disclosure of information to the public regarding the affiliate transaction: and (ii) obtain an independent assessment regarding the fair value and/or fairness of the transaction, which therefore, the Company only has an obligation to report this affiliate transaction to OJK in accordance with the provisions of Article 6 paragraph (2) POJK No. 42/2020.
