Uraian Informasi atau Fakta Material 1. Uraian rangkaian transaksi penyewaan kapal ini
adalah penyewaan 1 (satu) unit Kapal milik PT Pelayaran
Korindo (Korindo) oleh PT Hutama Trans Kencana
(MATRANS) dengan skema sewa guna usaha selama 5 (lima)
tahun dan Kapal mulai beroperasi dibawah MATRANS pada
tanggal 8 November 2023, dengan diberikan opsi beli pada
akhir periode sewa (Bare Boat Hire Purchase atau BBHP),
dimana MATRANS akan membeli Kapal tersebut sesuai
dengan kondisi-kondisi sebagaimana tercantum dalam
Perjanjian BBC.
2. Jenis kapal yang disewa adalah 1 (satu) unit kapal Oil
and Chemical Tanker.
3. Skema transaksi BBHP atas 1 (satu) unit Kapal ini
adalah sebagai berikut:
a.MATRANS membayar Prepaid Charter sebesar USD1,
300,000.00 (satu juta tiga ratus ribu dollar Amerika Serikat)
kepada Korindo, MATRANS harus melakukan pembayaran ke-
1 sebesar USD 1,300,000.00 (satu juta tiga ratus ribu dollar
Amerika Serikat) kepada Korindo paling lambat 24 Oktober
2023 dan selalu sebelum tanggal pengiriman.
b.Nilai sewa adalah sebesar USD 3,290.00 (tiga ribu dua ratus
sembilan puluh dollar amerika serikat) per hari harus dibayar 1
(satu) bulan di muka selama 5 (lima) tahun.
c. Opsi Pembelian (opsional) sebesar USD1,200,000
(satu juta dua ratus ribu Dollar Amerika Serikat) dibayarkan
pada saat masa sewa Kapal selesai.
4.Pemilik dari Kapal tersebut adalah Korindo, sebuah
perusahaan yang didirikan berdasarkan hukum negara
Republik Indonesia dan berdomisili di Wisma Korindo, Jalan
MT Haryono Kav. 62. Jakarta 12780, bukan merupakan afiliasi
dari Perseroan.
5. Penyewa atas Kapal yaitu PT Hutama Trans Kencana
merupakan entitas cucu anak usaha Perseroan dengan
kepemilikan secara tidak langsung melalui PT PCS
Internasional (PCSI), dimana sebanyak 99,9% (sembilan puluh
sembilan koma sembilan persen) PCSI dimiliki oleh
Perseroan.
Dampak kejadian, informasi atau fakta 1. Transaksi di atas bukan merupakan Transaksi Afiliasi
material tersebut terhadap kegiatan sebagaimana didefinisikan di dalam Peraturan Otoritas Jasa
operasional, hukum, kondisi keuangan, Keuangan No. 42.POJK.04.2020 tentang Transaksi Afiliasi
atau kelangsungan usaha Emiten atau dan Benturan Kepentingan (POJK 42), karena dilakukan di
Perusahaan Publik antara dua Perusahaan, yang berdasarkan ketentuan Pasal 1
angka 1 huruf c Undang-Undang No. 8 Tahun 1995 tentang
Pasar Modal (UUPM), tidak dikategorikan sebagai afiliasi;
2. Berdasarkan nilai perolehan tersebut diatas, transaksi
tersebut bukan merupakan Transaksi Material, sebagaimana
didefinisikan di dalam Peraturan Otoritas Jasa Keuangan No.
17.POJK.04.2020 tentang Transaksi Material dan Perubahan
Kegiatan Usaha (POJK 42), karena nilai skema transaksi
BBHP tidak lebih dari 20% nilai Ekuitas Perseroan
(berdasarkan nilai yang tercantum dalam Laporan Keuangan
Teraudit Perseroan untuk tahun buku 2022);
3. Sewa Kapal dengan skema BBHP ini dilakukan untuk
pengembangan usaha anak perusahaan Perseroan.

Description of Material Information or 1. The description of this series of vessel leasing transactions
Facts is the leasing of 1 (one) unit of Vessel owned by PT Pelayaran
Korindo (Korindo) by PT Hutama Trans Kencana (MATRANS)
under a leasing scheme for 5 (five) years, and the Vessel
began operating under MATRANS on November 8th, 2023,
with a purchase option at the end of the lease period (Bare
Boat Hire Purchase, or BBHP), where MATRANS will
purchase the Vessel in accordance with the conditions as
stated in the BBC Agreement.
2. The type of vessel chartered is 1 (one) unit Oil and
Chemical Tanker.
3. The BBHP transaction scheme for 1 (one) unit of this Vessel
is as follows:
a.MATRANS pays a Prepaid Charter of USD 1,300,000.00
(one million three hundred thousand United States dollars) to
Korindo. MATRANS shall make the 1st payment of USD
1,400,000.00 (one million four hundred thousand United States
dollars) to Korindo within 24 October 2023 and always before
Delivery.
b.The charter value is USD 3,290.00 (three thousand two
hundred and ninety US dollars) per day to be paid 1 (one)
month in advance for 5 (five) years.
c.Purchase Option (optional) in the amount of USD1,200,000
(one million two hundred thousand United States Dollars)
payable upon completion of the Vessel's charter period.
4.The owner of the Vessel is Korindo, a company established
under the laws of the Republic of Indonesia and domiciled at
Wisma Korindo, Jalan MT Haryono Kav. 62, Jakarta 12780,
not an affiliate of the Company
5. The charterer of the Vessel, PT Hutama Trans Kencana,
which is a subsidiary of the Company with indirect ownership
through PT PCS Internasional (PCSI), where as much as
99.9% (ninety-nine point nine percent) of PCSI is owned by the
Company.
Impact of event, material information or 1. The Transaction is not an Affiliated Transaction as defined
facts towards Issuers or Public in the Financial Services Authority Regulation No.
Company’s operational activities, legal, 42.POJK.04.2020 concerning Affiliated Transactions and
financial condition, or going concern Conflicts of Interest (POJK 42), because it is carried out
between two companies, which is based on the provisions of
Article 1 number 1 letter c of Law no. 8 of 1995 concerning the
Capital Market (UUPM), not categorized as affiliation;
2. Based on the acquisition value above, the transaction is not
a Material Transaction, as defined in the Financial Services
Authority Regulation No. 17.POJK.04.2020 concerning
Material Transactions and Changes in Business Activities
(POJK 42) because the BBHPs transaction value is not more
than 20% of the Company's Equity value (based on the value
stated in the Company's Audited Financial Statements for the
2022 financial year);
3. Charter Hire of Vessel with the BBHP scheme is carried out
for the business development of the Company's subsidiaries.
