Uraian Informasi atau Fakta Material Merujuk kepada surat penyampaian pengumuman negosiasi
sehubungan dengan rencana pengambilalihan PT Petrosea
Tbk (Perseroan) tertanggal 7 November 2023 dari PT Kreasi
Jasa Persada (KJP) kepada Perseroan.
Diinformasikan bahwa pada tanggal 7 November 2023, KJP
yang merupakan entitas anak langsung yang dikendalikan dan
dimiliki sebesar 99,98% oleh PT Petrindo Jaya Kreasi Tbk
(CUAN) telah menandatangani suatu Perjanjian Pembelian
Saham Bersyarat (PPSB) yang dibuat dan ditandatangani oleh
KJP selaku pembeli dan PT Caraka Reksa Optima (CRO)
selaku penjual.
Adapun jumlah saham milik CRO pada Perseroan yang
rencananya akan dibeli dan diambil alih oleh KJP berdasarkan
PPSB adalah sebanyak 342.925.700 lembar saham atau
mewakili 34,0% dari keseluruhan modal disetor dan
ditempatkan Perseroan (Rencana Transaksi).
Rencana Transaksi sebagaimana disebutkan di atas telah
diumumkan oleh KJP melalui pengumuman di koran tanggal 7
November 2023.
Penyelesaian Rencana Transaksi ini tunduk pada pemenuhan
beberapa persyaratan pendahuluan sebagaimana diatur di
dalam PPSB.
Dampak kejadian, informasi atau fakta Transaksi ini tidak berdampak terhadap kegiatan operasional,
material tersebut terhadap kegiatan hukum, kondisi keuangan atau kelangsungan usaha
operasional, hukum, kondisi keuangan, Perseroan.

Description of Material Information or Referring to the announcement letter related to the negotiation
Facts of the planned acquisition of PT Petrosea Tbk (Company)
dated 7 November 2023 from PT Kreasi Jasa Persada (KJP)
to the Company.
It has been informed that on 7 November 2023, KJP which is a
direct subsidiary controlled and owned 99.98% by PT Petrindo
Jaya Kreasi Tbk (CUAN) has signed a Conditional Share
Purchase Agreement (CSPA) which was made and signed by
KJP as the buyer and PT Caraka Reksa Optima (CRO) as the
seller.
The number of shares owned by CRO in the Company that
KJP plans to purchase based on the CSPA amount to
342,925,700 shares or representing 34.0% from the total paid-
up and issued capital of the Company (Proposed Transaction).
The Proposed Transaction as mentioned above has been
announced by KJP through a newspaper announcement dated
7 November 2023.
The completion of the Proposed Transaction shall be subject
to compliance of a number of conditions precedents as
governed under the CSPA.
Impact of event, material information or This transaction has no impact on the operational activities,
facts towards Issuers or Public law, financial condition or business continuity of the Company.
