       b. Objek Transaksi | Transaction Object
          Obyek transaksi adalah pembayaran reimbursement Premi Asuransi Etiqa - Bankers
          Comprehensive Crime and Civil Liability (BCPI) & Cyber Insurance (“Asuransi”) dari
          PT Wahana Ottomitra Multiartha Tbk, kepada Malayan Banking Berhad (“MBB”).
          Pemegang Polis Asuransi ini adalah Malayan Banking Berhad. Entitas yang diasuransikan
          dalam polis asuransi ini adalah MBB dan seluruh anak perusahaan MBB, sehingga Perseroan
          termasuk salah satu entitas yang diasuransikan dalam Polis Asuransi ini.
          Besaran Premi Asuransi yang menjadi kewajiban Perseroan, sebesar Rp240.969.975.46 atau
          MYR 69.029,06 telah dibayarkan oleh MBB kepada Etiqa. Perseroan kemudian berkewajiban
          untuk melakukan pembayaran reimbursement Premi Asuransi kepada MBB.

          The object of the transaction is the payment of Etiqa Insurance Premium reimbursement -
          Bankers Comprehensive Crime and Civil Liability (BCPI) & Cyber Insurance ("Insurance")
          from PT Wahana Ottomitra Multiartha Tbk, to Malayan Banking Berhad ("MBB").
          The Insurance Policy Holder is Malayan Banking Berhad. The insured entities in this
          insurance policy are MBB and all MBB subsidiaries, so the Company is one of the entities
          insured in this Insurance Policy.
          The amount of Insurance Premium which is the Company's obligation, amounting to IDR
          240.969.975.46 or MYR 69,029.06 has been paid by MBB to Etiqa. The company is then
          obliged to make insurance premium reimbursement payments to MBB.


       c. Nilai Transaksi | Transaction Value
          Nilai Transaksi adalah sebesar Rp240.969.975.46 atau MYR 69.029,06 untuk periode 1 tahun,
          di mana jumlah ini merupakan besaran Premi Asuransi yang menjadi kewajiban Perseroan.

          The Transaction Value is IDR 240.969.975.46 or MYR 69,029.06 for a period of 1 year, where
          this amount is the amount of the Insurance Premium which is the Company's obligation.

       d. Pihak pihak yang Melakukan Transaksi dan Hubungan dengan Perseroan | Parties
          Carrying Out Transactions And Relationships With The Company
          Pihak-pihak dalam Transaksi ini adalah:
          - PT Wahana Ottomitra Multiartha Tbk selaku Penerima Jasa; dan
          - Malayan Banking Berhad selaku Pemberi Jasa

          The parties to this Transaction are:
          - PT Wahana Ottomitra Multiartha Tbk as Service Recipient; And
          - Malayan Banking Berhad as Service Provider

       e. Sifat Hubungan Afiliasi dari Pihak yang melakukan Transaksi dengan Perseroan | Nature
          of Affiliate Relationships of Parties conducting Transactions with the Company
          Hubungan Afiliasi antara Perseroan dan MBB didasarkan pada hubungan antara Perusahaan
          dan Pemegang Saham Utama dari Pemegang Saham Utama Perseroan, sehingga secara tidak
          langsung MBB mengendalikan Perseroan.

          The affiliate relationship between the Company and MBB is based on the relationship
          between the Company and Major Shareholders of the Major Shareholders of the Company,
          so that MBB indirectly controls the Company.

       f. Pertimbangan dan alasan dilakukannya Transaksi tersebut dibandingkan apabila
          dilakukan transaksi lain yang sejenisnya dengan pihak non afiliasi adalah: | The
          considerations and reasons for carrying out this transaction compared to other similar
          transactions with non-affiliated parties are:
          - Transaksi Afiliasi ini dilakukan dengan tujuan untuk mewujudkan sinergi antara Maybank
              Group;
          - Transaksi Afiliasi ini juga memberikan manfaat efisiensi bagi Perseroan.

           -    This Affiliate Transaction was carried out with the aim of realizing synergy between
                the Maybank Group;
           -    This Affiliate Transaction also provides efficiency benefits for the Company.

       g. Direksi dan Dewan Komisaris Perseroan telah menyatakan dalam Surat Pernyataan
          terlampir bahwa: | The Company's Directors and Board of Commissioners have stated
          in the attached Statement Letter that:
          - Bertanggung jawab penuh atas kebenaran dari seluruh informasi yang dimuat dalam
              laporan ini;
          - Seluruh informasi atau fakta material yang relevan terkait dengan Laporan ini telah
              disampaikan dengan benar; dan tidak ada informasi penting penting atau fakta material
              lainnya yang berhubungan dengan Transaksi tersebut yang tidak dikemukakan dalam
              laporan ini yang dapat menyebabkan informasi dalam laporan ini menjadi tidak benar
              dan/atau menyesatkan;
          - Baik secara pribadi maupun korporasi tidak memiliki benturan kepentingan terhadap
              Transaksi ini, dan dilaksanakan dengan pertimbangan bisnis dan telah dilakukan
              Perseroan.

           -    is fully responsible for the correctness of all information contained in this report;
           -    all relevant information or material facts related to this Report have been submitted
                correctly; and there is no important information or other material facts relating to the
                Transaction which are not stated in this report which could cause the information in
                this report to be incorrect and/or misleading;
           -    Both individuals and corporations have no conflict of interest regarding this
                Transaction, and it is carried out with business considerations and has been carried out
                by the Company.
