Signing of agreement in connection with the proposed
capital increase by a controlled subsidiary of the
Company, PT Margautama Nusantara (“MUN”).
3. Uraian Informasi atau Fakta Pada tanggal 3 November 2023, MUN telah
Material. menandatangani:
Description of Information or
Material Facts. (i) Perjanjian Pengambilbagian Saham dengan
Warrington Investment Pte. Ltd. (“WIPL”), dan
(ii) Perjanjian Pengambilbagian Saham dengan
PT Metro Pacific Tollways Indonesia (“MPTI”).
Informasi tentang WIPL
WIPL adalah perusahaan induk investasi yang dibentuk
dan didirikan berdasarkan hukum Negara Singapura dan
merupakan anak perusahaan tidak langsung yang
sepenuhnya dimiliki oleh GIC (Ventures) Pte. Ltd. (”GIC
Ventures”). GIC Ventures dimiliki sepenuhnya oleh
Minister for Finance, suatu badan hukum yang didirikan
berdasarkan Undang-Undang Singapura Minister for
Finance (Incorporation) 1959 untuk memiliki dan
mengelola aset Pemerintah Singapura. WIPL didirikan
pada tahun 2010 dengan tujuan berinvestasi pada proyek-
proyek tertentu yang dikelola oleh GIC Special Investment
Private Limited, cabang investasi ekuitas swasta dan
infrastruktur dari GIC Private Limited.
Informasi Tentang MPTI
MPTI adalah anak perusahaan tidak langsung yang
sepenuhnya dimiliki oleh Metro Pacific Tollways
Corporation (MPTC), yang dibentuk dan didirikan
berdasarkan hukum Negara Republik Indonesia. Terdapat
hubungan afiliasi antara Perseroan, MUN, dan MPTI
mengingat MPTI merupakan pengendali dari Perseroan.
Penyelesaian rencana penambahan modal yang
dilaksanakan MUN berdasarkan perjanjian-perjanjian
tersebut diatas, tunduk pada pemenuhan kondisi-kondisi
yang telah ditentukan dalam Perjanjian Pengambilbagian
Saham masing-masing, termasuk memperoleh
persetujuan yang diperlukan berdasarkan peraturan yang
berlaku.
On November 3rd, 2023, MUN, has entered:
(i) Share Subscription Agreement with
Warrington Investment Pte Ltd. (“WIPL”), and

(ii) Share Subscription agreement with PT Metro
Pacific Tollways Indonesia (‘MPTI”).
Information of WIPL
WIPL is an investment holding company established and
incorporated under the laws of Singapore and is a wholly
owned indirect subsidiary of GIC (Ventures) Pte. Ltd. (“GIC
Ventures”). GIC Ventures is wholly owned by the Minister
for Finance, a statutory body corporate established under
the Minister for Finance (Incorporation) Act 1959 of the
Singapore Statutes own and administer assets of the
Government of Singapore. WIPL was incorporated in 2010
for the purpose of investing in specific projects manages by
GIC Special Investment Private Limited, the private equity
and infrastructure investment arm of GIC Private Limited.
Information of MPTI
MPTI is a wholly owned indirect subsidiary of Metro Pacific
Tollways Corporation (MPTC), incorporated and
established under and by virtue of the laws of Indonesia.
MPTI is the holding company of the Company. There is an
affiliate relationship between the Company, MUN, and
MPTI, considering MPTI is the controller of the Company.
Completion of the proposed capital increase implemented
by MUN based on the agreements mentioned above is
subject to the fulfillment of the conditions specified in the
respective Share Subscription Agreement, including
obtaining the necessary approvals based on applicable
regulations.
3. Dampak kejadian, informasi atau Keterangan lebih lanjut mengenai dampak atas rencana
fakta material tersebut terhadap penambahan modal MUN akan dijabarkan oleh Perseroan
kegiatan operasional, hukum, dalam Keterbukaan Informasi Transaksi Material dan
kondisi keuangan atau Transaksi Afiliasi yang akan dilakukan bersamaan dengan
kelangsungan usaha Perseroan. Pengumuman Rapat Umum Pemegang Saham Luar Biasa
Impact of such event, (“RUPSLB”) Perseroan.
Information or Material Facts to
the Company’s operational Further information regarding the impact of the proposed
activities, laws, financial capital increase of MUN will be elaborated by the
condition or continuity of Company in the Disclosure of Information on Material
Company’s business. Transaction and Affiliated Party Transaction which will be
carried out simultaneously with the announcement of the
Extraordinary General Meeting of Shareholders (“EGMS”)
of the Company.

sebagaimana dimaksud dalam Peraturan Otoritas Jasa
Keuangan (OJK) No. 17/POJK.04/2020 tentang Transaksi
Material dan Perubahan Kegiatan Usaha dan Peraturan
OJK No. 42/POJK.04/2020 tentang Transaksi Afiliasi dan
Transaksi Benturan Kepentingan, yang akan diumumkan
bersamaan dengan pengumuman RUPSLB Perseroan.
Information regarding the proposed capital increase of
MUN will be further elaborated by the Company in the
Information Disclosure as referred to in OJK Regulation No.
17/POJK.04/2020 concerning Material Transactions and
Changes in Business Activities and OJK Regulation No.
42/POJK.04/2020 concerning Affiliated Party Transaction
and Conflict of Interest Transaction, simultaneously with
the announcement of the EGMS of the Company.
Pengumuman dan Pemanggilan RUPSLB akan dilakukan
sesuai dengan ketentuan Peraturan OJK
No. 15/POJK.04/2020 tentang Rencana Penyelenggaraan
Rapat Umum Pemegang Saham Perusahaan Terbuka.
The Company will make announcement and invitation of
the EGMS in accordance with the prevailing regulations,
including OJK Regulation No. 15/POJK.04/2020 in Planning
on Organizing General Meeting of Shareholders of Public
Company.
