Entitas Anak Perseroan, PT Puri Permai
Intisentosa Sukses (“PPIS”) bersama dengan
Tuan Muh. Khaerul Hidayat (Wiraswasta)
telah mendirikan Perusahaan baru dengan
nama PT Puri Batam Paradise (“PBP”).
Pendirian PPIS tersebut telah dituangkan ke
dalam Akte Pendirian No. 104 tanggal 31
Oktober 2023 yang dibuat oleh Bun Hai,
Sarjana Hukum, Magister Kenotariatan,
Notaris yang berkedudukan di Kota Batam
(“Akta Pendirian PBP”) dan telah mendapat
pengesahan dari Menteri Hukum dan Hak
Asasi Manusia pada tanggal 02 Nopember
2023 No. AHU-0083701.AH.01.01 Tahun
2023.

Bahwa maksud dan tujuan PBP, yaitu
berusaha dalam bidang Parwisata, dengan
kegiatan usaha mencakup usaha dibidang
kehutanan, usaha jasa penyediaan makanan
dan minuman serta usaha kegiatan daya Tarik
wisata buatan dan binaan manusia yang
belum dicakup pada kelompok 93231 sampai
93233 termasuk wisata outbond.

Struktur permodalan PBP adalah sebagai

Establishment of a Joint Venture Company by
a Subsidiary.

3. Description of Material Information or Facts

The Company's Subsidiary, PT Puri Permai
Intisentosa Sukses ("PPIS") together with Mr.
Muh. Khaerul Hidayat (Entrepreneur) has
established a new company with the name PT
Puri Batam Paradise ("PBP”). The
establishment of PPIS has been stated in the
Deed of Establishment No. 104 dated 31
October 2023 made by Bun Hai, Bachelor of
Laws, Master of Notary, Notary domiciled in
Batam City ("Deed of Establishment of PBP")
and has received approval from the Minister
of Law and Human Rights on 02 November
2023 No. AHU-0083701.AH.01.01 Year 2023.

That the aims and objectives of PBP are to do
business in the tourism sector, with business
activities including businesses in the forestry
sector, food and beverage service businesses
as well as man-made and human-built tourist
attraction activities which are not yet covered
in groups 93231 to 93233 including outbound
tourism.

PBP's capital structure is as follows:

material tersebut terhadap kegiatan
operasional, hukum, kondisi keuangan, atau
kelangsungan usaha Emiten atau Perusahaan
Publik:

Pendirian PT Puri Batam Paradise (PBP) tidak
menimbulkan dampak yang material terhadap
kegiatan operasional, hukum, kondisi
keuangan atau keberlangsungan usaha
Perseroan.

5. Keterangan lain-lain:

PT Puri Batam Paradise (PBP) akan
menjalankan usaha sesuai dengan maksud
dan tujuan PT Puri Batam Paradise (PBP)
didirikan, sebagaimana tercantum di dalam
Akta Pendirian PT Puri Batam Paradise (PBP),
yaitu berusaha dalam bidang Pariwisata.

Tuan Muh. Khaerul Hidayat, bukan
merupakan pihak yang terafiliasi dengan
Perseroan dan entitas anak, tidak terdapat
benturan kepentingan ekonomis antara
Perseroan dengan kepentingan ekonomis
pribadi anggota Direksi, anggota Dewan
Komisaris atau Pemegang Saham Perseroan
yang dapat merugikan Perseroan,
sebagaimana dimaksud dalam Peraturan
Otoritas Jasa Keuangan Republik Indonesia
No. 42/POJK.04/2020 tanggal 1 Juli 2020
tentang Transaksi Afiliasi — Benturan
Kepentingan.

material facts on the operational activities,
law, financial condition or business
continuity of the Issuer or Public Company:

The establishment of PT Puri Batam Paradise
(PBP) did not have a material impact on the
Company's operational activities, law,
financial condition or business continuity.

Other Description

PT Puri Batam Paradise (PBP) will carry out
business in accordance with the aims and
objectives of PT Puri Batam Paradise (PBP)
being established, as stated in the Deed of
Establishment of PT Puri Batam Paradise
(PBP), namely doing business in the tourism
sector.

Mr Muh. Khaerul Hidayat, is not a party
affiliated with the Company and its
subsidiaries, there is no conflict of economic
interest between the Company and the
personal economic interests of members of
the Board of Directors, members of the Board
of Commissioners or Shareholders of the
Company which could be detrimental to the
Company, as intended in the Regulation of the
Financial Services Authority of the Republic of
Indonesia No. 42/POJK.04/2020 dated 1 July
2020 concerning Affiliate Transactions with
Conflicts of Interest.
