Lapangan Banteng Timur No. 1-4, JAKARTA 10710 Dengan hormat, Sesuai dengan ketentuan Pasal 9 ayat 1 Peraturan OJK No. 42/POJK.04/2020 tentang Transaksi Afiliasi dan Benturan Kepentingan Transaksi Tertentu (”POJK 42”), dengan ini PT BISI International Tbk (“Perseroan”) melaporkan Transaksi Afiliasi sebagai berikut: Pada tanggal 30 Oktober 2023, Perseroan telah menandatangani Perjanjian Kerja Sama dengan Chia Tai Co. Ltd. (“CT”), Afiliasi dari Perseroan, untuk melakukan kegiatan Penelitian dan Pengembangan dalam rangka menghasilkan benih hibrida F1 dari tanaman jagung manis, tomat, melon dan timun (“Transaksi”). Perseroan dan CT akan berbagi sumber daya dalam kegiatan Penelitian dan Pengembangan termasuk tetapi tidak terbatas pada penyediaan plasma nutfah. Transaksi merupakan kegiatan usaha yang dilakukan oleh Perseroan sebagaimana tercantum dalam Pasal 3 ayat 2 Anggaran Dasar Perseroan yaitu Pertanian Hortikultura Buah (KBLI 01132) dan Pertanian Hortikultura Sayuran Buah (KBLI 01133). Dengan demikian, Transaksi adalah Transaksi Afiliasi yang merupakan kegiatan usaha yang dijalankan dalam rangka menghasilkan pendapatan usaha dan dijalankan secara rutin, berulang dan/ atau berkelanjutan. Dear Sir / Madam, In accordance with the provisions of Article 9 paragraph 1 of OJK Regulation No. 421 POJK.04/2020 concerning Affiliated Transactions and Conflicts of Interest in Certain Transactions (“POJK 42”), hereby PT BISI International Tbk (the “Company”) reports the following Affiliated Transactions: On October 30 2023, the Company has signed a Cooperation Agreement with Chia Tai Co. Ltd. (“CT”), an Affiliate of the Company, to conduct Research and Development activities in order to produce F1 hybrid seeds from sweet corn, tomatoes, melons and cucumbers (“Transaction”). The Company and CT will share resources in Research and Development activities including but not limited to providing germplasm. Transaction is business activities carried out by the Company as stated in Article 3 paragraph 2 of the Companys Articles of Association, namely Fruit Horticulture Farming (KBLI 01132) and Fruit Vegetable Horticulture Farming (KBLI 01133). Thus, Transaction is Affiliate Transaction which is the business activities conducted in order to generate business income and carried out routinely, repeatedly and/or continuously. Jl.
