Setelah penyelesaian Transaksi, kepemilikan BUMA SG atas 29Metals bertambah sebanyak
38.917.528 (tiga puluh delapan juta sembilan ratus tujuh belas ribu lima ratus dua puluh delapan)
saham dengan total nilai transaksi sebesar AUS15.228.007 (lima belas juta dua ratus dua puluh
delapan ribu tujuh dolar Australia) atau setara dengan US$10.708.003 (sepuluh juta tujuh ratus
delapan ribu tiga Dolar Amerika Serikat), yang mewakili 2,236 (dua koma dua tiga persen) dari
total 1.747.294.800 (satu miliar tujuh ratus empat puluh tujuh juta dua ratus sembilan puluh
empat ribu delapan ratus) saham yang telah dikeluarkan oleh 29Metals.
Following the completion of the Transaction, BUMA SG's shareholding in 29Metals increased by
38,917,528 (thirty-eight million nine hundred seventeen thousand five hundred twenty-eight)
Shares, with a total transaction value of AUS15,228,007 (fifteen million two hundred twenty-eight
thousand seven Australian Dollars) or eguivalent to US$10,708,003 (ten million seven hundred
eight thousand three United States Dollars), representing 2.2396 (two point twenty three percent)
of the total 1,747,294,800 (one billion seven hundred forty-seven million two hundred ninety-four
thousand eight hundred) shares issued by 29Metals.
Dengan demikian, kepemilikan saham Grup Perseroan melalui BUMA SG dan BUMA Australia Pty.
Ltd. ("BUMA Australia”) pada 29Metals sebelum dan setelah Transaksi adalah sebagai berikut:

Transaksi ini bukan merupakan transaksi afiliasi dan benturan kepentingan sebagaimana
dimaksud dalam Peraturan OJK No. 42/POJK.04/2020 tentang Transaksi Afiliasi dan Transaksi
Benturan Kepentingan. Transaksi juga bukan merupakan traksaksi material sebagaimana
dimaksud dalam Peraturan OJK No. 17/POJK.4/2020 tentang Transaksi Material dan Perubahan
Kegiatan Usaha, karena nilai transaksi tidak melebihi 2086 dari total ekuitas Perseroan
berdasarkan Laporan Keuangan Konsolidasian Perseroan per 30 September 2025.
This Transaction does not constitute as an affiliated transaction and conflict of interest as referred
to in OJK Regulation No. 42/POJK.04/2020 concerning the Affiliation Transaction and Conflict of
Interest Transaction. Transaction also does not constitute as ad material transaction as referred
to in OJK Regulation No. 17/POJK.04/2020 concerning the Material Transaction and Changes of
Business Activities, because the Transaction value does not exceed 20X of the Company's total
eguity based on the Company's Consolidated Financial Statements as of 30 September 2025.

There is no material impact on the operational activities, legal, or going concern of the Company.
The investment in 29Metals is expected to contribute positively to the Company's Group
