Tanggal kejadian: 30 Oktober 2023. 2. Jenis Informasi atau Fakta Material: Penandatangan Perjanjian — Pendahuluan antara PT Mitra Investindo Tbk (“Perseroan”) dan PT Sentra Baruna Hijau (“SBH”). Dear Madame/Sir, Pursuant to the provision of Financial Services Authority Number 31/POJK.04/2015 dated 16 December 2015 regarding the Disclosure of Information or Material Facts by the Issuer or Public Company and Indonesia Stock Exchange Regulation Number: Kep-00066/BE1/09-2022 on the amendment of Regulation I-E regarding the Obligation to Information Disclosure (“Regulation I-E), we hereby submitting the Material Information or Facts Report as follow: 3. Date of event: October 30, 2023. 2. Type of Material Information of Facts: The Signing of Preliminary Agreement between PT Mitra Investindo Tbk (the “Company”) and PT Sentra Baruna Hijau (“SBH”)

Uraian Informasi atau Fakta Material: Perseroan bersama SBH telah menandatangani Perjanjian Pendahuluan pada tanggal 30 Oktober 2023 sehubungan dengan pembelian sebagian saham-saham KAL milik SBH, pihak terafiliasi, dengan jumlah sekurang-kurangnya 2.900.000 (dua juta sembilan ratus ribu) saham atau mewakili 294 (dua puluh sembilan persen) saham pada KAL (“Saham SBH”). Melalui pembelianSsaham SBH, kepemilikan saham Perseroan meningkat dari semula 7096 menjadi 99X, sehingga diharapkan dapat memperkokoh — segmen bisnis — utama Perseroan pada sektor bongkar muat (stevedoring) yang kini menjadi backbone pendapatan Perseroan sejak akuisisi KAL pada tahun 2022. Sesuai ketentuan Peraturan OJK No:17/POJK.04/2020 tentang Transaksi Material dan Perubahan Kegiatan Usaha, materialitas atas pembelian 294 saham KAL akan ditentukan pada saat pelaksanaan rencana transaksi yang tunduk pada terpenuhinya persyaratan dalam Perjanjian Pendahuluan sebagaimana tersebut diatas. Dampak kejadian, informasi atau fakta material: - Terhadap kegiatan operasional, kondisi keuangan, kelangsungan usaha dan dampak hukum: Penandatanganan Perjanjian Pendahuluan Pembelian Saham tidak memiliki dampak material terhadap operasional, kondisi finansial, kelangsungan usaha dan hukum. Dampak operasional, keuangan, kelangsungan usaha dan dampak hukum dapat terjadi setelahpelaksanaan transaksi, yakni setelah dipenuhinya persyaratan- persyaratan sehubungan dengan pembelian saham SBH di KAL dan Perseroan telah efektif memiliki dan menambah kepemilikan saham pada KAL, yang ditargetkan dapat terealisasi pada semester pertama tahun 2024. 4. Description of Material Information of Facts: The Company and SBH have signed the Preliminary Agreement on October 30, 2023 regarding the purchase of part of KAL shares owned by SBH, affiliated party, at the minimum of 2,900,000 (two million nine hundred thousand) shares or representing 2996 (twenty nine percent) shares in KAL (“SBH's Shares)". Through the purchase of the SBH Shares, the Company's share ownership in KAL, toincrease from 7036 to 9996, that expected to strengthen the Company's main business segment in the stevedoring sector which has now becming the backbone of the Company's revenue since the acguisition of KAL in 2022. Pursuant to OJK Rule No:17/POJK.04/2020 regarding the Material Transaction and the Change of Core Business, the materiality of the purchase of 299 SBH's Shares to be determined on the execution of the transaction, subject to the fulfilment of the conditions under the Preliminary Agreement above. The impact of such events, information or | facts: - To operational activities, financial Condition, sustainability business, and the legal Impact: The signing of this Preliminary Agreement do not affect any operational activities, financial conditions, sustainability of the company as well as legal impact. The impact to operational activities, financial conditions, sustainability business and the legal impact may arise after the execution of the transaction, upon the fulfilment of the condition reguire relating to the Purchase of SBH's share in KAL and the Company effectively owns and increase its shares ownership in KAL that expected to realized on the first semester of year 2024.
