Perusahaan Publik?
Perseroan tidak mengetahui adanya informasi atau fakta material yang dapat mempengaruhi nilai efek
perusahaan atau keputusan investasi pemodal yang belum disampaikan oleh Perseroan kepada publik atau
berada di ranah publik.
Seluruh informasi atau fakta material yang dapat mempengaruhi nilai efek perusahaan atau keputusan
investasi pemodal sebagaimana diatur di dalam Peraturan Otoritas Jasa Keuangan Nomor 31/POJK.
04/2015 Tentang Keterbukaan Informasi Atau Fakta Material Oleh Emiten Atau Perusahaan Publik telah
disampaikan oleh Perseroan.
1 Informasi atau fakta material terakhir yang disampaikan oleh Perseroan adalah sebagaimana disampaikan
pada tanggal 3 Oktober 2023 melalui surat Perseroan no. 157/GOTO/CS/JKT/X/2023./
We are not aware of any material information or facts that may impact the value of the shares of the
Company or the investment decision of the investors that has not been disclosed by the Company to the
public or is otherwise not already in the public domain.
All material information or facts that may affect the value of shares of the Company or investment decisions
of investors as stipulated in the Financial Services Authority Regulation Number 31/POJK.04/2015
concerning Disclosure of Information or Material Facts by Issuers or Public Companies have been submitted
by the Company.
The latest material information or fact submitted by the Company is as conveyed on October 3, 2023
through Letter of the Company no.157/GOTO/CS/JKT/X/2023.

Perseroan juga ingin menyampaikan bahwa sesuai dengan kewajiban Perseroan sebagaimana diatur di
dalam ketentuan Keputusan Direksi PT Bursa Efek Indonesia No: Kep-00066/BEI/09-2022 tentang
Perubahan Peraturan Nomor I-E tentang Kewajiban Penyampaian Informasi, maka Perseroan akan
menyampaikan Laporan Keuangan Konsolidasian pada tanggal dan untuk periode sembilan bulan yang
3 berakhir pada 30 September 2023, yang tidak diaudit dan tidak direviu, pada tanggal 30 Oktober 2023./
We are not aware of any important information/ facts/ events that are material and may affect the price of the
shares of Company that have not already been disclosed by the Company to the public or are otherwise not
already in the public domain.
The Company also would like to convey that in accordance with the obligation of the Company as required
under the Decree of the Board of Directors of the Indonesia Stock Exchange No: Kep-00066/IDX/09-2022
on the Amendments to Regulation Number I-E concerning Information Submission Obligations, the
Company will submit its unaudited and unreviewed consolidated financial statements as of and for the nine
months ended September 30, 2023 on October 30, 2023.
Apakah Perseroan mengetahui adanya aktivitas dari pemegang saham tertentu sebagaimana diatur dalam
Peraturan Otoritas Jasa Keuangan Nomor 11/POJK.04/2017 Tentang Laporan Kepemilikan atau Setiap
Perubahan Kepemilikan Saham Perusahaan Terbuka.
Selain daripada laporan yang diterima oleh Perseroan dari:
1.GoTo Peopleverse Fund pada tanggal 6 Oktober 2023;
2.Bapak William Tanuwijaya pada tanggal 13 Oktober 2023; dan
3.Bapak Sugito Walujo pada tanggal 16 Oktober 2023,
Sehubungan dengan hal di atas, Perseroan juga telah menyampaikan laporan perubahan kepemilikan dari
masing-masing pihak di atas pada tanggal 8 Oktober 2023, 13 Oktober 2023 dan 17 Oktober 2023. Selain
daripada informasi yang sudah disampaikan tersebut, pada tanggal tanggapan penjelasan ini disampaikan,
Perseroan tidak mengetahui adanya aktivitas dari pemegang saham tertentu sesuai dengan POJK No.

11/POJK.04/2017 terkait dengan kepemilikan saham mereka pada Perseroan./
Other than the report received by the Company from:
1.GoTo Peopleverse Fund on October 6, 2023;
2.Mr. William Tanuwijaya on October 13, 2023; and
3.Mr. Sugito Walujo on October 16, 2023,
In connection with the above, the Company has disclosed the Report of Change of Ownership of the parties
above on October 8, 2023, October 13, 2023 and October 17, 2023, respectively. Other than the information
that has been disclosed, as of the submission date of these responses, the Company is not aware of any
activities of the certain shareholders as referred in POJK No. 11/POJK.04/2017 in connection with their
share ownership of the Company.

Apakah Perseroan memiliki rencana untuk melakukan tindakan korporasi dalam waktu dekat, termasuk
rencana korporasi yang akan berakibat terhadap pencatatan saham Perseroan di Bursa (paling tidak dalam
3 bulan mendatang)?
Sebagaimana telah disampaikan oleh Perseroan pada tanggal 12 Oktober 2023 perihal Laporan Hasil
Pelaksanaan PMTHMETD, Perseroan baru saja menyelesaikan tindakan korporasi PMTHMETD dimana
Perseroan telah merealisasikan penerbitan saham seri A baru sebesar 17.045.733.334 saham seri A dari
total PMTHMETD yang telah disetujui oleh pemegang saham Perseroan pada RUPS Tahunan tanggal 30
Juni 2023 dimana Perseroan telah mendapatkan persetujuan untuk menerbitkan saham baru sampai
dengan sejumlah 118.436.392.950 saham seri A.
Pada tanggal surat tanggapan ini, Perseroan tidak memiliki rencana untuk melakukan aksi korporasi yang
dapat dianggap sebagai suatu transaksi material. Namun, dari waktu ke waktu, sebagai bagian dari kegiatan
usaha sehari-hari, Perseroan dapat melakukan tinjauan bisnis dan restrukturisasi internal. Sebagai
tambahan, selain dari pelaksanaan PMTHMETD, Perseroan saat ini belum memiliki rencana untuk
melakukan tindakan korporasi dalam waktu dekat, termasuk rencana korporasi yang akan berakibat
terhadap pencatatan saham Perseroan di Bursa (paling tidak dalam 3 bulan mendatang). Namun demikian
Perseroan sebagaimana hal-nya dilakukan oleh perusahaan-perusahaan lain akan terus melakukan
explorasi apabila terdapat kesempatan terbaik dan memberikan manfaat bagi Perseroan dan Grup
Perseroan untuk melakukan suatu tindakan korporasi, maka Perseroan dapat memutuskan untuk
melakukan suatu tindakan korporasi di masa mendatang. Perseroan akan senantiasa memperhatikan

seluruh ketentuan yang berlaku termasuk penyampaian informasi kepada publik apabila Perseroan
memutuskan untuk melakukan tindakan korporasi yang penting./
As it has been conveyed previously by the Company on October 12, 2023, under the Report of the Result of
Capital Increase through NPR Issuance, the Company has just concluded the corporate actions of NPR
issuance in which the Company has realized the issuance of new series A shares of 17,045,733,334 from
the total of the NPR issuance that has been approved by shareholders at the Annual GMS of the Company
on June 30, 2023 where the Company has obtained the approval to issue a maximum of 118,436,392,950
new series A shares.
As of the date of this letter there are no plans to conduct any corporate actions that will be considered as a
material transaction. Nonetheless, from time to time, as part of the ordinary course of business of the
Company, the Company may conduct internal business review and restructuring. In addition, other than the
implementation of the NPR issuance, there are no corporate action plans that will impact the listing of
shares of the Company on the Exchange (at the very least in the next 3 months). However, similar to what
other companies do, the Company will continuously explore the best opportunity that will benefit the
Company and the Group in conducting any corporate actions, so that the Company may take a decision to
carry out a corporate action in the future. The Company will always consider all of the relevant requirements
including disclosure of information to the public if the Company decides to conduct a significant corporate
action.

Rencana pemegang saham utama terkait dengan kepemilikan sahamnya di Perseroan. Dalam hal ini,
mohon kiranya Corporate Secretary menanyakan terlebih dahulu kepada pemegang saham utama dalam
menjawab konfirmasi tersebut.
Sesuai dengan definisi pemegang saham utama yaitu pemegang saham yang memiliki 20% dari total hak
suara yang dikeluarkan oleh Perseroan, maka dapat disampaikan bahwa hanya pemegang saham
pengendali Perseroan yang secara kolektif memiliki hak suara sebesar 20%, yang memenuhi kriteria
tersebut. Mereka seluruhnya adalah pemegang saham Seri B Perseroan.
Selanjutnya, sehubungan dengan rencana dari para pemegang saham pengendali Perseroan terkait dengan
kepemilikan sahamnya di Perseroan, maka berdasarkan konfirmasi yang diperoleh oleh Corporate
Secretary, dapat disampaikan bahwa pada tanggal penjelasan ini:
1.Ny. Melissa Siska Juminto tidak memiliki rencana untuk menjual saham yang dimilikinya di Perseroan.
2.Bapak Andre Soelistyo dapat memiliki rencana untuk melakukan penjualan saham sampai dengan
sejumlah 998.156.000 saham Seri A Perseroan (sekitar 10% dari total kepemilikan sahamnya saat ini di
Perseroan), dalam jangka waktu menengah.
3. Bapak William Tanuwijaya dapat memiliki rencana untuk melakukan penjualan saham sampai dengan
sejumlah 3.097.419.000 saham Seri A Perseroan (sekitar 15% dari total kepemilikan sahamnya saat ini di
Perseroan) dalam jangka waktu menengah.
4. Bapak Kevin Aluwi saat ini sudah tidak lagi menjabat sebagai karyawan, pejabat, direktur ataupun
komisaris Perseroan. Sejak tidak lagi memegang posisi-posisi tersebut di Perseroan, beliau sudah
6 melakukan penjualan saham dalam rangka diversifikasi dan menyeimbangkan kembali portofolio pribadinya.
Beliau berencana untuk terus melakukan penjualan atas bagian dari saham Seri A yang dimilikinya di
Perseroan./
Pursuant to the definition of principal shareholder, which is defined as a shareholder who owns 20% of the
total voting rights of the Company, we would like to explain that only controlling shareholders of the
Company, who collectively own 20% of the total voting rights of the Company can fulfill such criteria. All of
them are holders of Series B shares of the Company.
Further, in connection to the plan of the controlling shareholders of the Company in relation to their
shareholding in the Company, based on the confirmation obtained by the Corporate Secretary, we can
convey that, as at the date hereof:
1. Mrs. Melissa Siska Juminto has no plan to sell any shares of the Company.
2. Mr. Andre Soelistyo may sell up to 998,156,000 Series A shares of the Company (~10% of his current
total shares ownership in the Company) within the medium term.
3. Mr. William Tanuwijaya may sell up to 3,097,419,000 Series A shares of the Company (~15% of his
current total shares ownership in the Company) within the medium term.
4. Mr. Kevin Aluwi is no longer an employee, officer, director or commissioner of the Company. Since
leaving the Company, he has been selling shares to diversify and re-balance his personal portfolio. He plans
to continue to sell a portion of his Series A shares of the Company.

Rencana pemegang saham utama terkait dengan kepemilikan sahamnya di Perseroan. Dalam hal ini,

1.Ny. Melissa Siska Juminto tidak memiliki rencana untuk menjual saham yang dimilikinya di Perseroan.
2.Bapak Andre Soelistyo dapat memiliki rencana untuk melakukan penjualan saham sampai dengan
sejumlah 998.156.000 saham Seri A Perseroan (sekitar 10% dari total kepemilikan sahamnya saat ini di
Perseroan), dalam jangka waktu menengah.
3. Bapak William Tanuwijaya dapat memiliki rencana untuk melakukan penjualan saham sampai dengan
sejumlah 3.097.419.000 saham Seri A Perseroan (sekitar 15% dari total kepemilikan sahamnya saat ini di
Perseroan) dalam jangka waktu menengah.
4. Bapak Kevin Aluwi saat ini sudah tidak lagi menjabat sebagai karyawan, pejabat, direktur ataupun
komisaris Perseroan. Sejak tidak lagi memegang posisi-posisi tersebut di Perseroan, beliau sudah
6 melakukan penjualan saham dalam rangka diversifikasi dan menyeimbangkan kembali portofolio pribadinya.
Beliau berencana untuk terus melakukan penjualan atas bagian dari saham Seri A yang dimilikinya di
Perseroan./
Pursuant to the definition of principal shareholder, which is defined as a shareholder who owns 20% of the
total voting rights of the Company, we would like to explain that only controlling shareholders of the
Company, who collectively own 20% of the total voting rights of the Company can fulfill such criteria. All of
them are holders of Series B shares of the Company.
Further, in connection to the plan of the controlling shareholders of the Company in relation to their
shareholding in the Company, based on the confirmation obtained by the Corporate Secretary, we can
convey that, as at the date hereof:
1. Mrs. Melissa Siska Juminto has no plan to sell any shares of the Company.
2. Mr. Andre Soelistyo may sell up to 998,156,000 Series A shares of the Company (~10% of his current
total shares ownership in the Company) within the medium term.
3. Mr. William Tanuwijaya may sell up to 3,097,419,000 Series A shares of the Company (~15% of his
current total shares ownership in the Company) within the medium term.
4. Mr. Kevin Aluwi is no longer an employee, officer, director or commissioner of the Company. Since
leaving the Company, he has been selling shares to diversify and re-balance his personal portfolio. He plans
to continue to sell a portion of his Series A shares of the Company.
