       RENCANA PELAKSANAAN PENJUALAN/PENGALIHAN SAHAM HASIL PEMBELIAN KEMBALI


PT Wismilak Inti Makmur Tbk, ("Perseroan") telah melakukan pembelian saham kembali ("Buyback")
saham Perseroan di Bursa Efek sesuai dengan Peraturan Otoritas Jasa Keuangan ("OJK")
No.2/POJK.04/2013 tentang Pembelian Kembali Saham Yang Dikeluarkan oleh Emiten atau
Perusahaan Publik dalam Kondisi Pasar yang Berfluktuasi Secara Signifikan. Buyback tersebut telah
dilakukan secara bertahap, dimana jumlah total saham hasil buyback sejak 1 Agustus 2022 sampai
dengan 31 Oktober 2022 adalah sebesar 27.900.000 saham.

Guna memenuhi ketentuan Peraturan OJK No.2/POJK.04/2013 (“Perturan OJK No. 2/2013”) serta
Pasal 23 Salinan Peraturan OJK No.30/POJK.04/2017 ("Peraturan OJK No.30/2017"), maka Perseroan
bermaksud untuk menjual/ mengalihkan saham hasil buyback dengan jumlah sebanyak-banyaknya
27.900.000 saham yang akan dilakukan melalui Bursa Efek dengan uraian sebagai berikut :

 1     Melalui Bursa Efek
       a. Nama Anggota Bursa yang ditunjuk         MNC Sekuritas
       b. Waktu pelaksanaan                        Tanggal 30 Oktober 2023 – 29 Oktober 2024
 2     Harga pelaksanaan penjualan saham           Mengacu kepada Pasal 10 ayat (2) huruf b
       hasil                                       angka (1) POJK 2/2013 dan Pasal 18 huruf d
       buyback                                     angka (1) POJK 30/2017 dimana harga
                                                   pengalihan saham tidak boleh lebih rendah
                                                   dari harga penutupan perdagangan harian di
                                                   Bursa Efek 1 (satu) hari sebelum tanggal
                                                   penjualan saham atau harga rata - rata dari
                                                   harga penutupan perdagangan harian di
                                                   Bursa Efek selama 90 (sembilan puluh) hari
                                                   terakhir sebelum tanggal penjualan saham
                                                   oleh Perseroan, mana yang lebih tinggi.

Demikian keterbukaan informasi ini disampaikan, guna memenuhi Peraturan OJK No.2/2013 dan POJK
No.30/2017 yang mewajibkan Perseroan untuk mengumumkan keterbukaan informasi kepada
masyarakat dan menyampaikan bukti pengumuman dan dokumen pendukungnya kepada OJK paling
lambat 14 (empat belas) hari sebelum dilaksanakannya penjualan saham hasil pembelian kembali.

             REGARDING PLAN FOR THE SALE/TRANSFER OF BUYBACK SHARES


PT Wismilak Inti Makmur Tbk. (the "Company") has previously conducted a buyback of the Company's
shares on the Stock Exchange in comply with the Financial Services Authority ("OJK") Rule Number
2/POJK.04/2013 regarding the Buyback of Shares Issued by Issuers or Public Companies in Significantly
Fluctuating Market Conditions. The buyback has been carried out in gradual terms, of which the total
number of shares resulting from the buyback from August 1, 2022 to October 31, 2022 is 27,900,000
shares.

In order to comply with the provisions written in OJK Rule Number 2/POJK.04/2013 ("Peraturan OJK
No.2/2013") and Article 23 of the copy of OJK Rule Number 30/POJK.04/2017 ("Peraturan OJK
No.30/2017"), the Company has decided to sell/transfer shares acquired from the buyback with a
maximum of 27,900,000 shares which will be executed through the Stock Exchange (IDX) as follows :

      b.   Implementation period              October 30, 2023 - October 29, 2024
 2   Value of shares acquired from buyback    Referring to Article 10 paragraph (2) letter b number (1) POJK
                                              2/2012 and Article 18 letter d number (1) POJK 30/2017
                                              where the share transfer price cannot be lower than the
                                              closing price of daily trading on the Stock Exchange 1 (one)
                                              day before the date of sale of shares or the average price of
                                              the closing price of daily trading on the Stock Exchange
                                              during the last 90 days before the date of sale of shares by
                                              the Company, whichever is higher.


Therefore this Disclosure of Information is submitted, in accordance with prevailing laws and
regulations, particularly POJK No.2/2013 and POJK No.30/2017 which mandate the Company to
announce information disclosure to the public and submit proof of announcement and supporting
documents to OJK no later 14 (fourteen) days prior to the implementation of the sale of shares from
the buyback.
