Perjanjian Perubahan Keempat Terhadap Perjanjian Pinjaman
Uraian Informasi atau Fakta Material Sehubungan dengan Perjanjian Perubahan Keempat
tertanggal 12 Oktober 2023, yang dibuat oleh dan antara
Perseroan dan The Korea Development Bank, Cabang
Singapore ("KDB") ("Perjanjian Perubahan Keempat"), yang
mengubah perjanjian pinjaman sebesar US$10.000.000
(sepuluh juta Dollar) tertanggal 8 Oktober 2019 ("Perjanjian
Pinjaman Awal"), perjanjian perubahan pertama tertanggal 14
Oktober 2020 ("Perjanjian Perubahan Pertama"), perjanjian
perubahan kedua tertanggal 13 Oktober 2021 ("Perjanjian
Pinjaman Kedua"), dan perjanjian perubahan ketiga tertanggal
14 Oktober 2022 ("Perjanjian Perubahan Ketiga") yang dibuat
oleh dan diantara Perseroan dan KDB.
Maka Perseroan dan KDB melakukan perubahan yang
diantaranya adalah, untuk :
- memperpanjang jatuh tempo atas Perjanjian Pinjaman
selama 1 tahun sampai dengan bulan Oktober 2024.
Dokumen jaminan untuk perolehan fasilitas pinjaman ini
adalah Corporate Guarantee dari CJ CGV Co., Ltd ("CJ CGV")
selaku pemegang saham pengendali Perseroan secara tidak
langsung.
Tujuan dari pinjaman ini adalah untuk membiayai kebutuhan
modal kerja Perseroan.
Dampak kejadian, informasi atau fakta -
material tersebut terhadap kegiatan
operasional, hukum, kondisi keuangan,
atau kelangsungan usaha Emiten atau
Perusahaan Publik
Demikian untuk diketahui.

Type of Material Information or Facts Amendment Agreement to Loan Agreement
Description of Material Information or In relation to fourth Amendment Agreement dated October 12,
Facts 2023, made by and between the Company and The Korea
Development Bank, Singapore Branch ("KDB") (the "Fourth
Amendment Agreement"), which amends the US$10.000.000
loan agreement dated 8 October 2019 (the "Original Loan
Agreement"), as amended by the First amendment agreement
dated 14 October 2020 (the "First Amendment Agreement"),
as amended by the Second amendment agreement dated 13
October 2021 (the "Second Amendment Agreement"), and as
amended by the Third amendment agreement dated 14
October 2022 (the "Third Amendment Agreement") made by
and between the Company and KDB.
Therefore, the Company and KDB made changes, including
among others, to :
- extended the maturity of the Loan Agreement for 1 year until
October 2024.
Guarantee document for obtaining this loan facility is a
Corporate Guarantee provided by CJ CGV Co., Ltd. ("CJ
CGV") as the controlling shareholders of the Company
indirectly.
The purpose of this loan is to fund the Company's working
capital needs.
