Centex Tbk (the “Company”) Dengan hormat, Dear sir, Dalam rangka memenuhi ketentuan Pasal 6 ayat (2) Peraturan Otoritas Jasa Keuangan Republik Indonesia Nomor 42/POJK.04/2020 tentang Transaksi Afiliasi dan Transaksi Benturan Kepentingan (“POJK 42/2020”) sehubungan dengan penjualan aset tertentu milik PT. Century Textile Industry Tbk disingkat PT. Centex Tbk (“Perseroan”), melalui surat ini kami melaporkan transaksi afiliasi yang dilakukan oleh Perseroan, yakni penjualan mesin-mesin dan suku cadangnya yang dahulu digunakan dalam kegiatan industri pemintalan benang (“Transaksi Afiliasi”). In order to comply with Article 6 paragraph (2) of the Regulation of the Financial Services Authority of the Republic of Indonesia Number 42/POJK.04/2020 concerning Affiliate Transactions and Conflict of Interest Transactions (“OJK Reg. 42/2020”) in connection with the sale of certain assets of PT. Century Textile Industry — Tbk — abbreviated PT. Centex Tbk (the “Company”), through this letter we hereby report the affiliate transactions made by the Company, namely the sale of machines and its spare parts which were previously used in the yarn spinning industry (the “Affiliate Transactions”). Transaksi afiliasi berupa penjualan mesin-mesin dan spareparts (suku cadang) terkait termaktub dalam: The affiliate transactions in the form of sale of machines and its related spare parts are as set forth in: 1. Perjanjian Penjualan antara Perseroan dengan PT. Basterntex nomor: 004/CTX/VII/2023/REVOI1, tanggal 12 September 2023, terkait dengan penjualan: @ Machine Carding Rieter C50 & CS1 sebanyak 18 (delapan belas) unit, @ Machine Drawing Hara Cherry D600 sebanyak 3 (tiga) unit: e Machine Roving Toyota FL 100 sebanyak 1 (satu) unit: dan @ Suku cadang sebanyak 1 (satu) lot. I. Sale Agreement between the Company and PT. Easterntex number: 004/CTX/VII/2023/Rev01, dated 12 September 2023, in relation to the sale: » 18 (eighteen) units of Machine Carding Rieter C50 & C5 1: e 3 (three) units of Machine Drawing Hara Cherry D600, e 1 (one) unit of Machine Roving Toyota FL 100, and # 1 (one) lot of spare parts. 2. @ Unit Top Roll Grinding Bharat Pattern sebanyak 1 (satu) unit, dan e Unit Treatment Machine 208 B Yamatokei sebanyak 1 (satu) unit. e 1 (one) unit of Uit Top Roll Grinding Bharat Pattern, and 8 1 (one) unit of Unit Treatment Machine 208 B Yamatokei. Perlu kami sampaikan melalui surat ini bahwa Transaksi Afiliasi yang kami laporkan ini merupakan transaksi yang tak terpisahkan dari aksi korporasi Perseroan berupa pengurangan kegiatan usaha sebagaimana dimaksud dalam Peraturan Otoritas Jasa Keuangan Republik Indonesia Nomor 17/POJK.04/2020 tentang Transaksi Material dan Perubahan Kegiatan Usaha (“POJK 17/2020”) yang dilakukan karena Perseroan telah menghentikan kegiatan usaha pemintalan benang. We need to convey through this letter that the Affiliate Transaction that we are reporting is a transaction that is inseparable from the Company 's corporate action in the form of decrement of business activities as referred to in the Regulation of the Financial Services Authority of the Republic of Indonesia Number 17/POJK.04/2020 concerning Material Transactions and Changes in Business Activities (“OJK Reg. 17/2020”), which were made because the Company had stopped its yarn spinning business activities. Terkait dengan pengurangan kegiatan usaha tersebut, Perseroan telah memenuhi ketentuan terkait dengan pengurangan kegiatan usaha sebagaimana diatur dalam Pasal 25 ayat (2) POJK 17/2020, yakni mengumumkan keterbukaan informasi tentang pengurangan kegiatan usaha tersebut kepada masyarakat dan menyampaikan keterbukaan informasi tersebut bersama dengan dokumen pendukungnya kepada OJK. Regarding such decrement of business activities, the Company has complied with the provisions related to the decrement of business activities as regulated in Article 25 paragraph (2) of the OJK Reg. 17/2020, namely announcing the disclosure of information regarding the decrement of business activi to the public and submitting such disclosure of information along with supporting documents to OJK. Bahwa nilai masing-masing transaksi afiliasi tersebut di atas adalah: a. Transaksi Afiliasi nomor 1: Rp850.000.000,00 (delapan ratus lima puluh juta Rupiah): dan b. Transaksi Afiliasi nomor 2: Rp324.324.324,00 (tiga ratus dua puluh empat juta tiga ratus dua puluh empat ribu tiga ratus dua puluh empat Rupiah), sehingga seluruhnya senilai Rp1.174.324.324,00 (satu miliar seratus tujuh puluh empat juta tiga ratus dua puluh empat ribu tiga ratus dua puluh empat Rupiah). That the value of each of the affiliate transaction referred to above is: A. the Affiliate Transaction no. 1: Rp850,000,000.00 (eight hundred and fifty million Rupiah), and b. the Affiliate Transaction no. 2: Rp324,324,324.00 (three hundred and twenty-four million three hundred and twenty-four thousand and three hundred and twenty-four Rupiah, 50 that the total value is Rp1,174,324,324.00 (one billion one hundred seventy four million three hundred and twenty-four thousand and three hundred and twenty-four Rupiah). Selain penjualan mesin-mesin bekas industri pemintalan benang kepada pihak terafiliasi, mesin- mesin tertentu dijual kepada pihak ketiga dengan keseluruhan nilai transaksi sebesar Rp2.892.882.883,00 (dua miliar delapan ratus sembilan puluh dua juta delapan ratus delapan puluh dua ribu delapan ratus delapan puluh tiga Rupiah). Sehingga nilai keseluruhan transaksi penjualan mesin- mesin bekas industri pemintalan benang adalah Rp4.067.207.207,00 (empat miliar enam puluh tujuh juta dua ratus tujuh ribu dua ratus tujuh Rupiah). In addition to the sale of used machines from the yarn spinning industry to affiliated parties, certain machines were sold to third parties with a total transaction value of Rp2,892,882,883.00 (two billion cight hundred ninety-two million eight hundred eighty- two thousand eight hundred and eighty-three Rupiah). So that, the total transaction value for the sale of used machines from the yarn spinning industry is Rp4,067,207,207.00, Four billion sixty-seven million two hundred seven thousand and two hundred seven Rupiah). Pemenuhan ketentuan Peraturan OJK terkait dengan transaksi material dan transaksi afiliasi/transaksi benturan kepentingan, dapat kami jelaskan sebagai berikut: We can explain the fulfillment of the provisions of OJK Regulations related to material transactions and @ffiliate transactions/conflict of interest transactions as follows: 1. Berdasarkan ketentuan Pasal 3 ayat (3) POJK 17/2020, suatu transaksi yang dilakukan oleh perusahaan terbuka yang mempunyai ekuitas negatif, dikategorikan sebagai transaksi material apabila nilai transaksi sama dengan 10Y6 (sepuluh persen) atau lebih dari total aset perusahaan terbuka. Berdasarkan Laporan Keuangan Auditan Perseroan untuk tahun buku yang berakhir tangga, 31 Maret 2023 (“Laporan Keuangan Tahun I. Based on the 2022 Financial Statements, the Company's total assets are worth US$39,801,715.00 (thirty-nine — million eight hundred one thousand seven hundred and fifteen United States Dollars), so that, 1046 (ten percent) of the total assets is US$3,980,171.50 (three million nine hundred eighty thousand one hundred seventy-one United States Dollars and fifty cents). Oleh karena itu, nilai keseluruhan transaksi tidak mencapai nilai yang dapat dikategorikan sebagai Transaksi Material. Therefore, the total value of the transaction does not reach a value that can be categorized as a Material Transaction. . Berdasarkan ketentuan Pasal 6 ayat (1) huruf c POJK 42/2020, Perusahaan Terbuka yang melakukan transaksi afiliasi tidak wajib: . Based on the provision of Article 6 paragraph (1) letter c of the OJK Reg. 42/2020, Public Companies that carry out affiliate transactions are not obliged to: (a) menggunakan Penilai untuk menentukan kewajaran transaksi, (b) mengumumkan keterbukaan informasi tentang transaksi afiliasi kepada masyarakat, (c) menyampaikan keterbukaan informasi beserta dokumen pendukungnya kepada OJK, dan (d) memperoleh persetujuan pemegang saham independen dalam suatu RUPS, jika nilai transaksi afiliasi tersebut memenuhi Batasan transaksi material yang wajib memperoleh persetujuan RUPS dan/atau berdasarkan pertimbangan OJK memerlukan persetujuan pemegang saham independen, jika nilai transaksi afiliasi tidak melebihi 0,5y9 (nol koma lima persen) dari modal disetor atau tidak melebihi jumlah Rp5.000.000.000,00 (lima miliar Rupiah), digunakan nilai yang lebih rendah. (a) use an Appraiser to determine the fairness of the transaction, (&) announce the disclosure of information about affiliate transactions to the public, (ce) submit information disclosure along with Supporting documents to OJK, and (d) obtain independent shareholder approval at a GMOS, if the value of the affiliated transaction meets the material transaction limits that must obtain GMOS approval and/or based on OJK considerations reguires independent shareholder approval, if the affiliate transaction value does not exceed 0516 (cero point five percent) of the paid-in capital or does not exceed the amount of Rp5,000,000,000.00 (five billion Rupiah), the lower value is used. Bahwa modal disetor Perseroan menggunakan mata uang US$ (Dolar Amerika Serikat) sebagaimana dinyatakan dalam Laporan Keuangan Tahun 2022, yakni sebesar US$18.396.572,00 (delapan belas juta tiga ratus sembilan puluh enam ribu lima ratus tujuh puluh dua Dolar Amerika Serikat). That the Company's paid-up capital is in US$ (United States Dollars) as stated in the 2022 Financial Statements, namely US$18,396,572.00 (eighteen million three hundred ninety-si: thousand five hundred and seventy-two United States Dollars). Karenanya, 0,56 (nol koma lima persen) dari modal disetor Perseroan adalah US$91.982,86 (sembilan puluh satu ribu sembilan ratus delapan puluh dua Dolar Amerika Serikat dan delapan puluh enam sen) dan jika dikonversikan ke mata uang Rupiah dengan nilai tukar per US$ - Rp15.500,00 (lima belas ribu lima ratus Rupiah) menjadi sebesar Rp1.425.734.330,00 (satu miliar empat ratus dua puluh lima juta tujuh ratus tiga puluh empat ribu tiga ratus tiga puluh Rupiah). Therefore, 0.546 (zero point five percent) of the Company's paid-up capital is US$91,982.86 (ninetv-one thousand nine hundred eighty-two United States Dollars and eighty-six cents) and if converted into Rupiah at the exchange rate per US$ Rp15,500.00 (fifteen thousand five hundred Rupiah) to Rp1,425,734,330.00 (one billion four hundred twenty-five million seven hundred thirty- Jour thousand three hundred and thirty Rupiah). Sehingga, nilai transaksi afiliasi sebagaimana dijelaskan di atas, yakni sebesar Rp1.174.324.324,00 (satu miliar seratus tujuh puluh empat juta tiga ratus dua puluh empat ribu tiga ratus dua puluh empat Rupiah) tidak melebihi 0,5”o (nol koma lima persen) dari modal disetor Perseroan, dan karenanya menurut kami pengecualian sebagaimana dimaksud dalam Pasal ayat (1) huruf c POJK 42/2020 berlaku terhadap Transaksi Afiliasi yang dilakukan Perseroan. Thus, the affiliate transaction value as explained above, namely Rp1,174,324,324.00 (one billion one hundred seventy four million three hundred and twenty-four thousand and three hundred and twenty-four Rupiah). does not exceed 0.549 (cero point five percent) of the Company's paid-up capital, and therefore in our opinion, the exception as referred to in Article paragraph (1) letter c of the OJK Reg. 42/2020 applies to the Affiliated Transactions carried out by the Company.

4 Atas dasar alasan tersebut di atas, Perseroan hanya melaporkan — Transaksi Afiliasi — sebagaimana disyaratkan dalam Pasal 6 ayat (2) POJK 42/2020. Based on the reasons above, the Company only reports Affiliate Transactions as reguired in Article 6 paragraph (2) of the OJK Reg. 42/2020.
