Uraian Informasi atau Fakta Material A. Objek Transaksi Afiliasi
Obyek transaksi adalah dana setoran modal kepada KBBS
yang dilakukan melalui 3 (tiga) tahap yaitu :
1. Penempatan dana setoran modal dalam bentuk escrow
account sebesar Rp.80.000.000.000,- (delapan puluh miliar
rupiah) yang telah dilakukan pada 27 Juni 2023.
2. Penempatan dana setoran modal dalam bentuk escrow
account sebesar Rp.120.000.000.000,- (seratus dua puluh
miliar rupiah) yang telah dilakukan pada 29 September 2023.
3. Pembelian saham baru seri C sebanyak 13.600.000.000
lembar saham dengan harga perlembar saham sebesar
Rp.50,-.
Sehingga total investasi PT. Bank KB Bukopin, Tbk di PT.
Bank KB Bukopin Syariah menjadi sebesar
Rp.680.000.000.000,- (enam ratus delapan puluh miliar
rupiah).
B. Nilai Transaksi Afiliasi
Penempatan dana escrow account sebagai Tambahan Modal
dengan nilai transaksi yang diberikan sebesar
Rp.480.000.000.000,- (empat ratus delapan puluh miliar
rupiah) pada KBBS telah ditransaksikan pada hari Jumat
tanggal 6 Oktober 2023.
C. Nama pihak-pihak yang melakukan Transaksi Afiliasi
dengan Perseroan
- Investee : PT. Bank KB Bukopin Syariah (KBBS).
- Investor : PT. Bank KB Bukopin, Tbk (Perseroan).

Facts The transaction object is capital deposit funds to KBBS, which
is carried out in 3 (three) stages, namely:
1. Placement of capital deposit funds in the form of an escrow
account amounting to IDR 80,000,000,000 (eighty billion
Rupiah), which was carried out on June 27, 2023.
2. Placement of capital deposit funds in the form of an escrow
account amounting to IDR 120,000,000,000 (one hundred and
twenty billion rupiah), which was carried out on September 29,
2023.
3. Purchase of new series C shares totaling 13,600,000,000
shares at a price per share of IDR 50,-.
So the total investment of PT. Bank KB Bukopin, Tbk at PT.
Bank KB Bukopin Syariah to IDR680,000,000,000,- (six
hundred and eighty billion rupiah).
B. Affiliate Transaction Value
The placement of escrow account funds as Additional Capital
with a transaction value of IDR 480,000,000,000 (four hundred
and eighty billion rupiah) at KBBS was transacted on Friday, 6
October 2023.
