Jenis Informasi atau Fakta Material: Penandatangan Shareholder Agreement oleh dan antara PT Mitra Investindo Tbk (“Perseroan”), PT Prima Aset Lestari (“PAL”) dan Interra Resources Limited (“IRL”) sehubungan dengan Pendirian Perusahaan Dear Madame/Sir, Pursuant to the provision of Financial Services Authority Number 31/POJK.04/2015 dated 16 December 2015 regarding the Disclosure of Information or Material Facts by the Issuer or Public Company and Indonesia Stock Exchange Regulation Number: Kep-00066/BE//09-2022 on the amendment of Regulation I-£ regarding the Obligation to Information Disclosure (“Regulation I-E), we hereby submitting the Material Information or Facts Report as follow: 3. Terbarukan Uraian Informasi atau Fakta Material: Perseroan dan PAL bersama dengan IRL telah sepakat mendirikan usaha patungan baru, bergerak di bidang energi baru dan terbarukan biomass melalui pendirian perusahaan Penanaman Modal Asing (PMA) PT Mitra Biomass Internasional (“Perusahaan Patungan”). Perseroan dan PAL bersama-sama akan memiliki 6096 (enam puluh persen) saham Perusahaan Patungan, dan IRL akan mengambil bagian 4096 saham. Perseroan nantinya akan memegang mayoritas saham pada Perusahaan Patungan, setelah terpenuhinya persyaratan dan persetujuan lainnya yang diperlukan sesuai dengan ketentuan Anggaran Dasar Perseroan, ketentuan pasar modal dan peraturan perundangan dan hukum yang berlaku. Perusahaan Patungan akan membangun dan mengoperasikan Pabrik Wood Pellet di Sumatera, Indonesia, dengan perkiraan nilai investasi sebesar USD4.800.000 (Empat juta delapan ratus ribu Dollar Amerika Serikat). Sesuai ketentuan Peraturan OJK No:17/POJK.04/2020 tentang — Transaksi Material dan Perubahan Kegiatan Usaha, materialitas atas investasi Perseroan pada Perusahaan Patungan akan ditentukan pada saat pelaksanaan transaksi investasi pada Perusahaan Patungan setelah terpenuhinya persyaratan dalam Perjanjian Pemegang Saham sebagaimana tersebut diatas. Dampak kejadian, informasi atau fakta material: - Terhadap kegiatan operasional, kondisi keuangan, kelangsungan usaha dan dampak hukum: Penandatanganan Perjanjian Pemegang Saham tidak memiliki dampak material terhadap operasional, kondisi finansial, kelangsungan usaha dan hukum. Dampak Operasional, keuangan, kelangsungan usaha dan dampak hukum dapat terjadi pada saat Company for the Renewable Biomass Energi Business on October 9, 2023. Description of Material Information of Facts: The Company and PAL together with IRL have agreed to incorporate a newly joint venture company engages on the renewable biomass energy through the incorporation of the newly foreign investment company s0 called PT Mitra Biomass Internasional (the “Joint Venture Company” or “IVC” ). The Company and PAL will collectively own 6056 (sixty percent) in the JVC, and IRL would subscribe the remaining 4096 of shares. The Company will be the majority shareholder on JVC, upon satisfying the necessity conditions of transaction and reguired approvals pursuant to the Article of Association of the Company, provision of capital market, as well as the pertaining laws and regulation. JVC plans to develop and operate ad Wood Pellet plant in Sumatera, Indonesia, with the total investment value — approximately US$4,800,000 (Four million eight hundred thousand United States Dollar). Pursuant to OJK Rule No:17/POJK.04/2020 regarding the Material Transaction and the Change of Core Business, the materiality of the Company's investment on the newly JVC to be determined on the execution of the Company's investation on JVC, after the fulfilment of the conditions under the Shareholders Agreement as stated above. The impact of such events, information or facts: - To operational activities, financial condition, sustainability business, and the legal Impact: The signing of this Shareholder Agreement do not affect any operational activities, financial conditions, sustainability of the company as well as legal impact.
