PENYESUAIAN SYARAT DAN KETENTUAN
WARAN TERSTRUKTUR BBNIZPCG4A
Kami mengacu pada pengumuman PT Bank Negara Indonesia (Persero) Tbk (“BBNI”) pada
tanggal 11 Agustus 2023 sehubungan dengan rencana Pemecahan Saham (“Pemecahan
Saham”).
Sesuai dengan syarat dan ketentuan yang tercantum dalam Bagian 3.8 Prospektus tertanggal
31 Januari 2023 dan Term Sheet BBNIZPCG4A tertanggal 24 Mei 2023, Harga Pelaksanaan
dan Rasio Konversi BBNIZPCG4A akan disesuaikan berdasarkan rumus berikut:

Where,
E: 6, adalah Rasio Konversi Lama 6 Call Waran Terstruktur : 1 Lembar Saham BBNI
sebelum Pemecahan Saham.
K: Rp9.150, adalaha Harga Pelaksanaan yang lama sebelum Pemecahan Saham.
N: 2, adalah jumlah saham baru setelah Pemecahan Saham.
P: 1, adalah jumlah saham lama sebelum Pemecahan Saham.
Penyesuaian hanya akan dilakukan jika akan mengakibatkan Rasio Konversi dan/atau Harga
Pelaksanaan yang berubah lebih dari 2% (dua persen) (Persyaratan 2%).
Tunduk pada penyesuaian yang memenuhi Persyaratan 2%, penyesuaian terhadap
BBNIZPCG4A akan berlaku pada tanggal-tanggal berikut:

ADJUSTMENT TO THE TERMS AND CONDITIONS
OF STRUCTURED WARRANT BBNIZPCG4A
We refer to the announcement of PT Bank Negara Indonesia (Persero) Tbk (“BBNI”) dated
11 August 2023 in relation to the Stock Split plan (“Stock Split”).
In accordance to the terms and conditions stated in Section 3.8 of the Prospectus dated 31
January 2023 and the Term Sheet of BBNIZPCG4A dated 24 May 2023, the Exercise Price
and Exercise Ratio of BBNIZPCG4A will be adjusted based on the following formula:

Where,
E: 6, being the existing Exercise Ratio of 6 call warrant : 1 BBNI share immediately
prior to the Stock Split.
K: Rp9.150, being the existing Exercise Price immediately prior to the Stock Split.
N: 2, being the revised number of BBNI shares after the Stock Split.
P: 1, being the existing number of BBNI share immediately prior to the Stock Split.
Adjustment will only be made where it would result in the Exercise Price and/or Exercise Ratio
being changed by more than two percent (2%) (“2% Requirement”).
Subject to the adjustment meeting the 2% Requirement, the adjustment to BBNIZPCG4A will
take effect on the following dates:
Regular Market and Negotiated Market 6 October 2023
Cash Market 10 October 2023
