sifatnya penting.
Uraian Informasi atau Fakta Material 1) Sehubungan dengan transaksi pengambilalihan 397
portofolio aset menara telekomunikasi milik (atau yang disewa
oleh) PT Anugerah Communication (PTAC) oleh PT
Centratama Menara Indonesia (CMI) (selanjutnya disebut
Obyek Transaksi) sebagaimana informasinya telah
disampaikan oleh Perseroan melalui:
a. Keterbukaan Informasi Kepada Pemegang Saham
Dalam Rangka Transaksi Material pada tanggal 29 Agustus
2022 dan 3 Oktober 2022 (Keterbukaan Informasi Tahun
2022); dan
b. Surat Perseroan kepada Otoritas Jasa Keuangan,
Nomor: 035/CS/CTI-OJK/VIII/2023 tanggal 4 Agustus 2023
perihal Laporan Informasi atau Fakta Material (Laporan Fakta
Material Agustus 2023).
Dapat kami sampaikan bahwa CMI dan PTAC telah sepakat
untuk melakukan penyelesaian akhir atas Obyek Transaksi
yang ditandai dengan dilakukannya penandatangan dan
penerbitan Serifikat Penyelesaian pada tanggal 3 Oktober
2023.
2) Dengan diterbitkannya Sertifikat Penyelesaian
tersebut, maka penyelesaian akhir telah dilaksanakan dan
Obyek Transaksi dianggap telah diselesaikan secara penuh
oleh para pihak.
Dampak kejadian, informasi atau fakta Tidak terdapat perubahan atas penjelasan mengenai dampak
material tersebut terhadap kegiatan Transaksi sebagaimana sebelumnya telah dijelaskan dalam
operasional, hukum, kondisi keuangan, Keterbukaan Informasi Tahun 2022 dan dan Laporan Fakta
atau kelangsungan usaha Emiten atau Material 2023.

Description of Material Information or 1) Regarding the acquisition transaction of 397
Facts telecommunications tower portfolio assets owned (or leased
by) PT Anugerah Communication (PTAC) by PT Centratama
Menara Indonesia (CMI) (hereinafter referred to as the
Transaction Object), as previously disclosed by the Company
through:
a. Information Disclosure to Shareholders for Material
Transactions on August 29, 2022, and October 3, 2022 (2022
Information Disclosures); and
b. The Company's letter to the Financial Services
Authority, Number: 035/CS/CTI-OJK/VIII/2023 dated August 4,
2023, regarding Material Information or Facts Report (August
2023 Material Fact Report).
We would like to convey that CMI and PTAC have agreed to
conduct the final completion of the Transaction Object, marked
by the signing and issuance of the Closing Certificate on
October 3, 2023.
2) With the issuance of the Closing Certificate, the final
completion has been completed and the Transaction Object is
considered to have been fully completed by the parties.
