Afiliasi sebagaimana dimaksud dalam peraturan OJK No.42/POJK.04/2020 tentang Transaksi Afiliasi dan Transaksi
Benturan Kepentingan.

                                              Completion of Share Transfer Transaction of PT Home Credit

 Description of Material Information or       Following to the Framework Agreement for Sale and Purchase
 Facts                                        of Shares dated 24 November 2022 ("Agreement"), the
                                              Company has conducted the completion in connection with the
                                              proposed purchase of Series A shares in PT Home Credit
                                              Indonesia (PT HCID) representing 9.83% (nine point eight
                                              three percent) of the issued and paid up capital of PT HCID
                                              ("Transaction"). There are changes to the structure and the
                                              number of purchased shares by the Company in tne
                                              implementation of Transactions fot the purpose of fulfilment of
                                              the condition precedents thereunder.

                                              Considering that the condition precedents of the Agreement
                                              have been fulfilled including but not limited to the obtainment
                                              of the approval from Financial Services Authority (Otoritas
                                              Jasa Keuangan) and Bank Indonesia for the change in
                                              ownership of PT HCID, the Company and Home Credit
                                              Indonesia B.V. have completed the Transaction by signing the
                                              Share Transfer Deed of PT HCID on dated 2 October 023
                                              made before Lenny Janis Ishak, S.H., Notary in South Jakarta
                                              with the purchase considering of EUR 23,163,839.08.

                                              As per the completion of the Transaction, the Company has
                                              become one of the minority shareholders of PT HCID.

Other Information

Under this Transaction the Company only becomes the minority shareholder in PT HCID (i.e. 9,83%) (and not the
new controller). This Transaction is not a Material Transaction as referred to in OJK Regulation
No.17/POJK.04/2020 concerning Material Transaction and Changes in Business Activities and is not an Affiliated
Transaction as Referred to in OJK Regulation No.42/POJK.04/2020 concerning Affiliated Transaction and Conflict
of Interest Transaction.
