Uraian Informasi atau Fakta Material Pada tanggal 26 September 2023, Perseroan
telahmengadakan Rapat Umum Pemegang Obligasi
Berkelanjutan IV Waskita Karya Tahap I Tahun 2020
(Obligasi) sebagaimana diatur dalam Pasal 10 Perjanjian
Perwaliamanatan Obligasi Berkelanjutan IV Waskita Karya
Tahap I Tahun 2020, Akta No. 27, tanggal 27 Maret 2020,
yang dibuat di hadapan Ashoya Ratam, S.H., M.Kn., Notaris di
Jakarta, berikut perubahan-perubahannya (Perjanjian
Perwaliamanatan). RUPO ini merupakan Rapat Umum
Pemegang Obligasi kedua setelah RUPO pertama yang
diadakan pada tanggal 6 September 2023 tidak memenuhi
kuorum kehadiran.
Adapun RUPO tersebut dilaksanakan dengan agenda:
1. Penjelasan dan usulan PT Waskita Karya (Persero) Tbk
selaku Emiten sehubungan dengan adanya kelalaian dan/atau
pelanggaran tidak dipenuhinya kewajiban pembayaran Bunga
ke-11 dan/atau Bunga ke-12 dan/atau Pokok Obligasi
Berkelanjutan IV Waskita Karya Tahap I Tahun 2020 dan
usulan yang berkaitan
dengan Obligasi Berkelanjutan IV Waskita Karya Tahap I
Tahun 2020.
2. Penentuan sikap/keputusan para Pemegang Obligasi
Berkelanjutan IV Waskita Karya Tahap I Tahun 2020 atas
penjelasan dan usulan PT Waskita Karya (Persero) Tbk
sehubungan dengan adanya kelalaian dan/atau pelanggaran
tidak dipenuhinya kewajiban pembayaran Bunga ke-11
dan/atau Bunga ke-12 dan/atau Pokok Obligasi Berkelanjutan
IV Waskita Karya Tahap I Tahun 2020 dan usulan yang
berkaitan dengan Obligasi Berkelanjutan IV Waskita Karya
Tahap I Tahun 2020.
Namun demikian, RUPO tidak dapat mencapai kuorum
keputusan.
Dampak kejadian, informasi atau fakta Mengingat kuorum keputusan pada Rapat Umum Pemegang
material tersebut terhadap kegiatan Obligasi tanggal 26 September 2023 tidak tercapai, maka tidak
operasional, hukum, kondisi keuangan, terdapat keputusan yang diambil secara sah oleh RUPO.
atau kelangsungan usaha Emiten atau
Perusahaan Publik Wali Amanat akan menentukan waktu untuk mengadakan
RUPO kembali serta melakukan pengumuman dan panggilan
kepada para pemegang Obligasi sesuai dengan ketentuan
Perjanjian Perwaliamanatan.

Information Report or Material Facts of the 2020 General
Type of Material Information or Facts Meeting of PUB IV Waskita Karya Phase I
Description of Material Information or On September 26 2023, the Company held a General Meeting
Facts of Holders of Waskita Karya IV Phase I 2020 Continuous
Bonds (Bonds) as regulated in Article 10 of the Waskita Karya
IV Phase I 2020 Continuous Bond Trustee Agreement, Deed
No. 27, dated 27 March 2020, made before Ashoya Ratam,
S.H., M.Kn., Notary in Jakarta, including the amendments
(Trustee Agreement). This RUPO is the second General
Meeting of Bondholders after the first RUPO held on
September 6 2023 did not meet
attendance quorum.
The RUPO was carried out with the following agenda:
1. Explanation and proposal from PT Waskita Karya (Persero)
Tbk as the Issuer regarding negligence and/or violations of
non-fulfillment of the obligation to pay the 11th Interest and/or
12th Interest and/or Principal of Waskita Karya IV Phase I
2020 Continuous Bonds and related proposals
with Waskita Karya IV Sustainable Bonds Phase I 2020.
2. Determining the attitude/decision of the Sustainable Bond
Holders IV Waskita Karya Phase I 2020 based on the
explanation and proposal of PT Waskita Karya (Persero) Tbk
regarding negligence and/or violations of non-fulfillment of the
obligation to pay the 11th Interest and/or the 10th Interest 12
and/or Principal of Sustainable Bonds IV Waskita Karya Phase
I 2020 and proposals related to Sustainable Bonds IV Waskita
Karya Phase I 2020.
However, Bondholders Meeting could not reach decision
