Pada tanggal 9 Juni 2023, Perseroan telah melakukan keterbukaan informasi kepada Otoritas
Jasa Keuangan melalui Surat Nomor 063/CORP/9981/VI/23 (“Keterbukaan Informasi 9 Juni
2023”), yang memberitahukan bahwa:
On 9 June 2023, the Company has made disclosure information to Otoritas Jasa Keuangan
through a Letter Number dated 063/CORP/9981/VI/23 (“Disclosure Information 9 June 2023”)
which informed that:
PT Danusa Tambang Nusantara (“DTN”), Perusahaan terkendali milik Perseroan melakukan
penandatanganan dengan Nickel Industries Limited, yaitu Perjanjian Pengambilan Bagian
(Subscription Agreement). Berdasarkan Perjanjian Pengambilan Bagian, Nickel Industries Limited
akan mengeluarkan sebanyak 857.000.000 (delapan ratus lima puluh tujuh juta) saham biasa baru
atau setara dengan 19,99% (sembilan belas koma sembilan sembilan persen) dari total saham
yang dikeluarkan oleh Nickel Industries Limited kepada DTN pada harga AUD$1,10 (satu koma
satu Dolar Australia) per saham dengan total nilai keseluruhan sebesar AUD$942,7 juta (sembilan
ratus empat puluh dua koma tujuh juta Dolar Australia).
PT Danusa Tambang Nusantara (“DTN”) a controlled entity of the Company signed with Nickel
Industries Limited, as follows a Subscription Agreement. Based on the Subscription Agreement,
Nickel Industries Limited will issue a total of 857,000,000 (eight hundred fifty-seven million) new
ordinary shares or equivalent to 19.99% (nineteen point nine nine percent) of total issued shares
in Nickel Industries Limited to DTN at price of AUD$1.10 (one point one Australian Dollar) per
share for a total value of AUD$942.7 million (nine hundred forty-two point seven million Australian
Dollar).

Perseroan dengan ini memberitahukan bahwa pada tanggal 21 September 2023, seluruh
persyaratan pendahuluan (conditions precedent) dalam Perjanjian Pengambilan Bagian
(Subscription Agreement) telah terpenuhi oleh masing-masing pihak dan DTN telah
menyelesaikan pembayaran kepada Nickel Industries Limited yang telah mengeluarkan saham
biasa baru dengan harga per saham dan total nilai keseluruhan sebesar nilai sebagaimana
tercantum dalam Keterbukaan Informasi 9 Juni 2023.
The Company hereby informs that as of 21 September 2023, all conditions precedent in the
Subscription Agreement have been fulfilled by each party and DTN has made payment to Nickel
Industries Limited for issued a new ordinary share at price per share and with the total amount as
stated in the Disclosure Information 9 June 2023.
Dengan demikian, terhitung sejak tanggal 21 September 2023, DTN telah menjadi pemegang
saham di Nickel Industries Limited dengan kepemilikan sebanyak 857.000.000 (delapan ratus lima
puluh tujuh juta) saham biasa baru atau setara dengan 19,99% (sembilan belas koma sembilan
sembilan) dari total saham yang dikeluarkan oleh Nickel Industries Limited.
Therefore, as of 21 September 2023, DTN becomes a shareholder in Nickel Industries Limited
holding 857,000,000 (eight hundred fifty-seven million) new ordinary shares or equivalent to
19.99% (nineteen-point nine nine percent) of the total issued shares in Nickel Industries Limited.
Selain dari apa yang disebutkan di atas, informasi yang telah disampaikan dalam Keterbukaan
Informasi 9 Juni 2023 masih tetap sama dan tidak berubah sepanjang tidak bertentangan dengan
Keterbukaan Informasi 9 Juni 2023.
Other than the above, the information that had been disclosed under the Disclosure 9 June 2023
remains valid as long as it is not contrary with Disclosure Information 9 June 2023.
