Uraian Informasi atau Fakta Material PT Elnusa Tbk ("Perseroan") memiliki rencana untuk
melakukan pembelian kembali saham Perseroan yang telah
dikeluarkan dan tercatat di PT Bursa Efek Indonesia ("Bursa
Efek") beserta rencana pengalihan saham hasil pembelian
kembali sesuai Peraturan Otoritas Jasa Keuangan ("OJK")
Nomor 29 Tahun 2023 tentang Pembelian Kembali Saham
yang Dikeluarkan Oleh Perusahaan Terbuka ("POJK 29/2023")
dan Peraturan OJK Nomor 13 Tahun 2023 tentang Kebijakan
Dalam Menjaga Kinerja Dan Stabilitas Pasar Modal Pada
Kondisi Pasar Yang Berfluktuasi Secara Signifikan ("POJK
13/2023") serta merujuk pada surat Otoritas Jasa Keuangan
Nomor S-10/D.04/2026 tanggal 13 Maret 2026. Jumlah nilai
keseluruhan pembelian kembali saham diperkirakan sebesar-
besarnya Rp100.000.000.000,- (seratus miliar Rupiah).
Pembelian kembali saham dapat dilakukan melalui Bursa Efek
maupun di luar Bursa Efek dan Perseroan boleh melakukan
pembelian kembali saham tanpa persetujuan RUPS jika terjadi
kondisi pasar yang berfluktuasi secara signifikan (pasal 7
POJK 13/2023) dan surat Otoritas Jasa Keuangan Nomor S-
102/D.04/2025 tanggal 17 September 2025. Pembelian
kembali saham hanya dapat dilakukan dalam jangka waktu
paling lama 3 (tiga) bulan setelah keterbukaan informasi
kepada Otoritas Jasa Keuangan dan Bursa Efek serta
melakukan pengumuman kepada masyarakat. Pelaksanaan
pembelian kembali saham akan memperhatikan kondisi
likuiditas dan permodalan Perseroan, serta ketentuan
peraturan perundang-undangan yang berlaku. Perseroan tidak
melakukan pembelian kembali saham jika akan
mengakibatkan berkurangnya jumlah saham pada suatu
tingkat tertentu yang dapat mengurangi secara signifikan
likuiditas saham di Bursa Efek.

Dampak kejadian, informasi atau fakta Menurut hasil analisa Perseroan, pelaksanaan Pembelian
material tersebut terhadap kegiatan Kembali Saham tidak akan memberikan dampak negatif yang
operasional, hukum, kondisi keuangan, material terhadap kinerja operasional dan pendapatan
atau kelangsungan usaha Emiten atau Perseroan, karena Perseroan pada saat ini memiliki modal dan
Perusahaan Publik arus kas yang cukup untuk melakukan Pembelian Kembali
Saham.

INFORMATION DISCLOSURE TO SHAREHOLDERS IN
Type of Material Information or Facts RELATION TO SHARES BUYBACK PLAN IN
SIGNIFICANTLY FLUCTUATING MARKET CONDITIONS
Description of Material Information or PT Elnusa Tbk ("Company") proposes to conduct a Share
Facts Buyback of the Company's issued and listed shares on PT
Bursa Efek Indonesia ("Stock Exchange"), together with the
transfer of shares acquired through the Share Buyback, in
accordance with Financial Services Authority ("OJK")
Regulation Number 29 of 2023 concerning the Buyback of
Shares Issued by Public Companies ("POJK 29/2023") and
OJK Regulation Number 13 of 2023 concerning Policies for
Maintaining Capital Market Performance and Stability under
Significantly Fluctuating Market Conditions ("POJK 13/2023"),
and with reference to Financial Services Authority letter
Number S-10/D.04/2026 dated 13 March 2026. The aggregate
value of the share buyback is estimated at a maximum of
Rp100,000,000,000 (one hundred billion Rupiah). The share
buyback may be conducted through the Stock Exchange or
outside the Stock Exchange, and the Company may conduct
the share buyback without the approval of the General Meeting
of Shareholders (GMS) in the event of significantly fluctuating
market conditions (Article 7 of POJK 13/2023) and pursuant to
Financial Services Authority letter Number S-102/D.04/2025
dated 17 September 2025. The share buyback may only be
conducted within a period of no longer than 3 (three) months
after the information disclosure to the Financial Services
Authority and the Stock Exchange and the announcement to
the public. The implementation of the share buyback will
consider the Company's liquidity and capital condition, as well
as the prevailing laws and regulations. The Company will not
conduct the share buyback if it would result in a reduction of
the number of shares to a certain level that could significantly
reduce the liquidity of the shares on the Stock Exchange.

Impact of event, material information or Based on the Company's analysis, the implementation of the
facts towards Issuers or Public Share Buyback will not have a material adverse impact on the
Company’s operational activities, legal, Company's operational performance and revenue, as the
financial condition, or going concern Company currently has sufficient capital and cash flow to
conduct the Share Buyback.
