Fakta Material a. Debitur
• PT Erafone Artha Retailindo (“EAR”) merupakan
Perusahaan Terkendali dengan Kepemilikan Langsung
oleh Perseroan dengan kepemilikan 99,82%. EAR
merupakan Perseroan Terbatas yang didirikan dan tunduk
berdasarkan hokum negara Republik Indonesia. Dalam
Perjanjian Kredit ini berlaku sebagai Borrower
• PT Data Citra Mandiri (“DCM”) merupakan Perusahaan
Terkendali dengan Kepemilikan Tidak Langsung oleh
Perseroan melalui EAR dengan kepemilikan 99,99%.
DCM merupakan Perseroan Terbatas yang didirikan dan
tunduk berdasarkan hukum negara Republik Indonesia.
Dalam Perjanjian Kredit ini berlaku sebagai Borrower
• PT Teletama Artha Mandiri (“TAM”) merupakan
Perusahaan Terkendali dengan Kepemilikan Tidak
Langsung oleh Perseroan melalui EAR dengan
kepemilikan 99,99%. TAM merupakan Perseroan
Terbatas yang didirikan dan tunduk berdasarkan hukum
negara Republik Indonesia. Dalam Perjanjian Kredit ini
berlaku sebagai Borrower
• Perseroan, merupakan salah satu Perusahaan Tercatat di
Bursa Efek Indonesia yang didirikan dan tunduk
berdasarkan hukum negara Republik Indonesia. Dalam
Perjanjian Kredit ini berlaku sebagai Co-Borrower
b. Kreditur
PT Bank Mandiri (Persero) Tbk (“Bank Mandiri”) merupakan
Bank milik pemerintah Republik Indonesia yang tergabung
dalam Badan Usaha Milik Negara (BUMN). Bank Mandiri
didirikan dan tunduk berdasarkan hukum negara Republik
Indonesia. Dalam Perjanjian Kredit ini berlaku sebagai

Hubungan antara pihak-pihak yang bertransaksi.
1. EAR, DCM dan TAM selaku Debitur adalah Perusahaan
Terkendali dengan Kepemilikan Langsung dan Tidak
Langsung oleh Perseroan dengan kepemilikan diatas 99%
dimiliki oleh Perseroan.
2. Tidak ada hubungan afiliasi antara Debitur dan Agen Fasilitas
Kredit.
Nilai & Ketentuan Hukum atas Transaksi
Perjanjian Fasilitas Kredit yang ditandatangani oleh Pihak-pihak
yang bertransaksi diatur berdasarkan hukum negara Republik
Indonesia dengan Nilai fasilitas setinggi-tingginya sampai dengan
Rp. 3.000.000.000.000 (tiga triliun rupiah) untuk Fasilitas Kredit
Modal Kerja, setinggi-tingginya sampai dengan USD 150.000.000
(seratus lima puluh juta dollar Amerika Serikat) untuk Fasilitas
SBLC dan setinggi-tingginya sampai dengan USD 150.000.000
(seratus lima puluh juta dollar Amerika Serikat) untuk Fasilitas
Treasury Line.
Jangka Waktu Fasilitas Kredit
1 (satu) Tahun sejak penandatanganan Perjanjian Fasilitas Kredit.
Tujuan Transaksi
Pembiayaan modal kerja digital Para Debitur.

• PT Erafone Artha Retailindo ("EAR") is a Controlled
Company with Direct Ownership by the Company with
99,82% ownership. EAR is a Limited Liability Company
incorporated and subject to the laws of Republic of
Indonesia. In this Credit Facility Agreement applies as
Borrower
• PT Data Citra Mandiri ("DCM") is a Controlled Company
with Indirect Ownership by the Company through EAR with
99,99% ownership. DCM is a Limited Liability Company
incorporated and subject to the laws of Republic of
Indonesia. In this Credit Facility Agreement applies as
Borrower
• PT Teletama Artha Mandiri ("TAM") is a Controlled
Company with Indirect Ownership by the Company through
EAR with 99,99% ownership. TAM is a Limited Liability
Company incorporated and subject to the laws of Republic
of Indonesia. In this Credit Facility Agreement applies as
Borrower
• the Company, is one of the Listed Companies on the
Indonesia Stock Exchange established and subject to the

PT Bank Mandiri (Persero) Tbk ("Bank Mandiri") is a
government-owned bank of the Republic of Indonesia
incorporated in a State-Owned Enterprises (BUMN). Bank
Mandiri is established and complies with the laws of the
Republic of Indonesia. In this Credit Facility Agreement
applies as a Creditor
The Relationship between the Transactions Parties.
1. EAR, DCM and TAM as Debitors are Controlled Companies
with Direct and Indirect Ownership with ownership above 99%
owned by the Company.
2. There is no affiliation between the Debitors and the Creditor
Value & Legal Terms of Transaction
The Credit Facility Agreement signed by the transaction Parties is
regulated under the laws of the Republic of Indonesia with a
maximum facility value up to Rp. 3,000,000,000,000 (three trillion
rupiah) for the Working Capital Credit Facility, a maximum up to
USD 150,000,000 (one hundred fifty million United States dollars)
for the SBLC Facility and a maximum up to USD 150,000,000 (one
hundred fifty million United States dollars) for Treasury Line
facility.
Term of Credit Facility
1 (one) Year from the signing of the Credit Facility Agreement
