Uraian Informasi atau Fakta Material a. Perkiraan Jadwal, Biaya Pembelian Kembali Saham, dan
Perkiraan Jumlah Nominal Seluruh Saham yang Akan Dibeli
Kembali. Sesuai dengan ketentuan POJK No. 2/2013,
tindakan korporasi ini akan dilakukan dalam jangka waktu
paling lama 3 (tiga) bulan setelah tanggal penyampaian
keterbukaan informasi ini, dengan anggaran sebanyak
banyaknya Rp50.000.000.000,- (Lima Puluh Miliar Rupiah)
atau sebesar 3,698% dari jumlah saham.
b. Perkiraan Menurunnya Pendapatan Perseroan Akibat
Pelaksanaan Pembelian Kembali Saham dan Dampak Atas
Biaya Pembiayaan. Pembelian saham ini menggunakan dana
idle Perseroan, sehingga tidak akan mempengaruhi
pendapatan dan pembiayaan Perseroan
c. Performa Laba Per Saham Perseroan Setelah Pembelian
Kembali Dilaksanakan, dengan Mempertimbangkan
Menurunnya Pendapatan Perseroan. Perseroan mencatat laba
bersih per saham per tanggal 30 Juni 2023 adalah sebesar
Rp12.579.604.148,- (Dua Belas Miliar Lima Ratus Tujuh Puluh
Sembilan Juta Enam Ratus Empat Ribu Seratus Empat Puluh
Delapan Rupiah). Sedangkan performa laba per saham
setelah pembelian kembali dilaksanakan adalah sebesar Rp8,-
(Delapan Rupiah). Pelaksanaan pembelian kembali saham
akan menyebabkan perubahan pada jumlah yang beredar,
namun perubahan tersebut tidak signifikan terhadap performa
laba per saham Perseroan.
d. Pembatasan Harga Saham Untuk Pembelian Kembali
Saham. Akan dilakukan pada harga yang lebih rendah atau
sama dengan harga pada hari sebelumnya.
e. Pembatasan Jangka Waktu Pembelian Kembali Saham.
Pembelian akan dilakukan dalam waktu maksimal 3 (tiga)
bulan.
f. Metode yang Akan Dilakukan Untuk Membeli Kembali
Saham. Metode pembelian melalui Bursa Efek Indonesia.
g. Pembahasan dan Analisis Manajemen Mengenai Pengaruh
Pembelian Kembali Saham Terhadap Kegiatan Usaha dan
Pertumbuhan Perseroan di Masa Mendatang. Dengan tetap
menjaga cashflow Perseroan, maka kemampuan Perseroan
untuk mencapai target tahun 2023 akan tetap terjaga.
Ditambah dengan image Perseroan yang akan terbantu
dengan stabilnya harga saham, akan melancarkan Perseroan
mencapai tujuan bisnisnya.
Dampak kejadian, informasi atau fakta a. Proforma laba per saham Perusahaan setelah dilaksanakan
material tersebut terhadap kegiatan pembelian ini adalah Rp.8,- yang sebelumnya adalah Rp.30,-
operasional, hukum, kondisi keuangan,
atau kelangsungan usaha Emiten atau b. Menjaga stabilnya harga saham dan cash flow perusahaan
Perusahaan Publik akan membantu perusahaan untuk mencapai targetnya.

Description of Material Information or a. Estimated Schedule, Share Buyback Costs, and Estimated
Facts Nominal Amount of All Shares to be Repurchased. In
accordance with the provisions of POJK No. 2/2013, this
corporate action will be carried out within a maximum period of
3 (three) months after the date of submission of this
information disclosure, with a budget of Rp. 50,000,000,000,-
(Fifty Billion Rupiah) or 3.698% of the total shares .
b. Estimated Decline in Company Income Due to the
Implementation of Share Buybacks and the Impact on
Financing Costs. This share purchase uses the Company's
idle funds, so it will not affect the Company's income and
financing
c. Performance of the Company's Earnings Per Share After the
Buyback is Implemented, Taking into Account the Decrease in
Company Revenue. The Company recorded net profit per
share as of June 30 2023 amounting to IDR 12,579,604,148,-
(Twelve Billion Five Hundred Seventy Nine Million Six Hundred
Four Thousand One Hundred Forty Eight Rupiah). Meanwhile,
the profit per share performance after the buyback was
implemented was Rp. 8,- (Eight Rupiah). The implementation
of share buybacks will cause changes in the number of shares
in circulation, but these changes are not significant to the
Company's earnings per share performance.
d. Share Price Restrictions for Share Buybacks. Will be carried
out at a price lower or the same as the price on the previous
day.
e. Limitations on the Share Repurchase Period. Purchases will
be made within a maximum of 3 (three) months.
f. Methods that will be used to buy back shares. Purchase
method via the Indonesian Stock Exchange.
g. Management Discussion and Analysis Regarding the Effect
of Share Buybacks on the Company's Business Activities and
Growth in the Future. By continuing to maintain the Company's
cash flow, the Company's ability to achieve its 2023 target will
be maintained. Plus, the Company's image will be helped by
stable share prices, which will help the Company achieve its
business goals.
