Description of information or Material Facts Anak baru bernama PT Black Diamond Pacific (“BDP”) yang dituangkan
dalam Akta Pendirian No. 4 tertanggal 9 Maret 2026 dibuat di hadapan Ina
Kartika Sari, SH., M.KN dan telah disahkan oleh Menteri Hukum Republik
Indonesia berdasarkan Surat Keputusan No.AHU-002305.AH.01.01.TAHUN
2026 tanggal 9 Maret 2026.
PT Black Diamond Resources Tbk (the “Company”) has established a new
subsidiary named PT Black Diamond Pacific (“BDP”), that is documented in
the Deed of Establishment No.4 dated March 9, 2026 made before Ina
Kartika Sari, SH., M.KN and has received the legal approval from the Minister
of Law of The Republic Indonesia based on Decree No.AHU-
00230.AH.01.01 Year 2026 dated March 9, 2026.
Modal dasar BDP adalah sebesar Rp5.000.000.000,- (lima miliar Rupiah)
dan Modal ditempatkan dan disetor sebesar Rp2.000.000.000,- (dua miliar
Rupiah). Kepemilikan Perseroan dalam BDP adalah sebesar 99,95% atau
senilai Rp1.999.000.000,- (satu miliar sembilan ratus sembilan puluh
sembilan juta Rupiah) dari modal ditempatkan dan disetor dalam BDP.
The authorized capital in BDP is Rp5.000.000.000,- (five billion Rupiah) and
its paid-up capital is Rp2.000.000.000,- (two billion Rupiah). The Company
holds 99.95% of the shares in BDP, which is equivalent to Rp1,999,000,000
(one billion nine hundred ninety-nine million Rupiah) of the issued and paid-
up capital in BDP.
Tujuan didirikannya BDP adalah untuk memperluas bisnis Grup Perseroan
di bidang (a) aktivitas perdagangan besar bahan bakar padat, cair, dan gas
dan produk YBDI (KBLI 46610), (b) perdagangan bersar logam dan bijih
logam (KBLI 46620), (c) perdagangan besar semen, kapur, pasir, dan batu
(KBLI 46634), dan (d) perdagangan besar mineral bukan logam (KBLI
46641).
The establishment of BDP is aimed to expand the Company Group’s
business in the following sectors: (a) wholesale trading of solid, liquid, and
gaseous fuels and related products (KBLI 46610), (b) wholesale trading of
metals and metal ores (KBLI 46620), (c) wholesale trading of cement, lime,
sand, and stone (KBLI 46634), and (d) wholesale trading of non-metallic
minerals (KBLI 46641).
Transaksi ini bukan merupakan Transaksi Afiliasi sebagaimana dimaksud
dalam Peraturan Otoritas Jasa Keuangan No. 42/POJK.04/2020 dan bukan
merupakan Transaksi Material sebagaimana dimaksud dalam Peraturan
Otoritas Jasa Keuangan No. 17/POJK.04/2020.
This transaction does not constitute an Affiliated Transaction as referred to in
Financial Services Authority Regulation No. 42/POJK.04/2020 and does not
constitute a Material Transaction as referred to in Financial Services Authority
Regulation No. 17/POJK.04/2020.
