PT Nusantara Infrastructure Tbk (the “Company”) as a
private company which engaged in the development
and acceleration of infrastructure in Indonesia,
continues its mission to contribute to build connectivity
in various region in Indonesia.
Perseroan melalui anak usahanya PT Marga Metro
Nusantara (“MMN”) telah mendirikan badan usaha
patungan bersama dengan PT Adhi Karya (Persero) Tbk.
(“ADHI”), dan PT Acset Indonusa Tbk (“ACSET”), dengan
nama PT Jakarta Metro Ekspressway (“JKTMetro”),
berdasarkan Akta Pendirian Perseroan Terbatas No. 13
tanggal 8 September 2023, yang dibuat di hadapan
Yumna Shabrina, S.H., M.Kn., selaku notaris pengganti
dari Ashoya Ratam, S.H., M.Kn, Notaris di Jakarta
Selatan, yang telah memperoleh Pengesahan Pendirian
Badan Hukum Perseroan Terbatas berdasarkan
Keputusan Menteri Hukum dan Hak Asasi Manusia
Republik Indonesia Nomor AHU-
0068199.AH.01.01.Tahun2023 tertanggal 11
September 2023, dengan komposisi kepemilikan saham
dalam JKTMetro adalah sebagai berikut:
The Company through its subsidiary PT Marga Metro
Nusantara (“MMN”) has established a joint venture
entity together with PT Adhi Karya (Persero) Tbk, and PT
Acset Indonusa Tbk (“ACSET”), under the name PT
Jakarta Metro Ekspressway (“JKTMetro”), bsed on the
Deed of Establishment of Limited Liability Company No.
13 dated September 8, 2023, drawn up before Yumna
Shabrina, S.H., M.Kn., as a substitute notary of Ashoya
Ratam, S.H., M.Kn., Notary in South Jakarta, and has
obtained the Approval of the Establishment of a Limited
Liability Company based on the Decree of the Minister
of Laws and Human Rights of the Republic of Indonesia
No. AHI-0068199.AH.01.01.Tahun2023 dated
September 11, 2023, with the composition of share
ownership in JKTMetro as follows:

a. MMN, memiliki kepemilikan saham sebanyak 85%
dari modal disetor dan ditempatkan;
MMN, has a share ownership of 85% of the paid-up and
issued capital;
b. ADHI, memiliki kepemilikan saham sebanyak 10%
dari modal disetor dan ditempatkan; dan
ADHI, has a share ownership of 10% of the paid-up
and issued capital; and
c. ACSET, memiliki kepemilikan saham sebanyak 5%
dari modal disetor dan ditempatkan.
ACSET, has a share ownership of 5% of the paid-up
and issued capital.
JKTMetro bergerak dalam bidang pengusahaan jalan
tol, yang meliputi pendanaan, perencanaan Teknik,
pelaksanaan konstruksi, pengoperasian dan
pemeliharaan jalan tol.
JKTMetro is to engage in the toll road business which
includes funding, engineering planning, construction
implementation, operation and maintenance of the toll
road.
Perseroan tidak memiliki hubungan Afiliasi dengan
ADHI atau ACSET.
The Company has no Affiliation with either ADHI or
ACSET.
4. Dampak kejadian, informasi Keikutsertaan MMN dalam pendirian JKTMetro adalah
atau fakta material tersebut sebagai bagian dari strategi Perseroan untuk
terhadap kegiatan operasional, mendukung dalam pembangunan dan percepatan
hukum, kondisi keuangan atau infrastruktur di Indonesia.

Afiliasi dan Transaksi Benturan Kepentingan.
That the establishment of JKTMetro is not a Material
Transaction as referred to in the Financial Services
Authority Regulation Number 17/POJK.04/2020
concerning Material Transactions and Changes in
Business Activities and is not an Affiliated Transaction
as referred to in the Financial Services Authority
Regulation Number 42/POJK.04/2020 regarding
Affiliated Transactions and Conflict of Interest
Transactions.
