Material / Nusantara (“MMN”) dan PT Adhi Karya (Persero) Tbk
Description of Material (“ADHI”) telah mendirikan perusahaan patungan
Information or Facts dengan nama PT Jakarta Metro Ekspressway (“JME”),
yang pendiriannya telah disahkan sesuai dengan
Keputusan Menteri Hukum dan Hak Asasi Manusia
Republik Indonesia Nomor AHU-
0068199.AH.01.01.TAHUN 2023 tanggal 11
September 2023.
Tujuan pendirian JME untuk bergerak dalam bidang
pengusahaan jalan tol yang meliputi pendanaan,
perencanaan teknik, pelaksanaan konstruksi,
pengoperasian dan pemeliharaan jalan tol.

Adapun susunan pemegang saham JME adalah
sebagai berikut:
a. MMN sejumlah 22.865 lembar saham, atau senilai
Rp22.865.000.000 (dua puluh dua miliar delapan
ratus enam puluh lima juta Rupiah), setara dengan
85% (delapan puluh lima persen) dari modal disetor
dan ditempatkan JME;
b. ADHI sejumlah 2.690 lembar saham, atau senilai
Rp2.690.000.000 (dua miliar enam ratus sembilan
puluh juta Rupiah), setara dengan 10% (sepuluh
persen) dari modal disetor dan ditempatkan JME;
dan
c. Perseroan sejumlah 1.345 lembar saham, atau
senilai Rp1.345.000.000 (satu miliar tiga ratus
empat puluh lima juta Rupiah), setara dengan 5%
(lima persen) dari modal disetor dan ditempatkan
JME.
Sumber dana yang digunakan oleh Perseroan untuk
memenuhi porsi penyetoran modal dalam pendirian
JME adalah dengan menggunakan dana yang
bersumber dari ekuitas Perseroan.
Perseroan tidak memiliki hubungan Afiliasi dengan
MMN atau ADHI.
The Company together with PT Marga Metro Nusantara
(“MMN”) and PT Adhi Karya (Persero) Tbk (“ADHI”)
established a joint venture company, namely PT Jakarta
Metro Expressway (“JME”), which establishment has
been ratified in accordance with the Decree of the
Minister of Law and Human Rights of the Republic of
Indonesia Number AHU-0068199.AH.01.01.TAHUN
2023 dated 11 September 2023.
The purpose of the JME establishment is to engage in
the toll road business which includes funding,
engineering planning, construction implementation,
operation and maintenance of the toll road.
The shareholders structure of JME is as follows:
a. MMN with a total of 22,865 shares, or worth
IDR22,865,000,000 (twenty-two billion eight
hundred and sixty-five million Rupiah), equivalent to
85% (eighty-five percent) of JME's paid up and
issued capital;
b. ADHI with a total of 2,690 shares, or worth
IDR2,690,000,000 (two billion six hundred and
ninety million Rupiah), equivalent to 10% (ten
percent) of JME's paid up and issued capital; and
c. The Company with a total of 1,345 shares, or worth
IDR 1,345,000,000 (one billion three hundred and

forty-five million Rupiah), equivalent to 5% (five
percent) of JME's paid up and issued capital.
The Company used its equity as the source of funds to
fulfil the paid-up capital for the establishment of JME.
The Company has no Affiliation with either MMN or
ADHI.
