Y PAGE OF Obyek Transaksi adalah sebidang tanah dan bangunan Ruko nomor 1 dan 2 lantai 1 terletak di Jalan Mayjen Sungkono, nomor 1, Segoromadu, Kecamatan Kebomas, Kabupaten Gresik, dengan nilai sewa sebesar Rp. 171.000.000 dan belum termasuk pajak (periode sewa menyewa mulai tanggal 13 September 2023 sampai dengan 12 September 2026). Transaksi yang digambarkan pada Keterbukaan Informasi ini merupakan Transaksi Afiliasi yang hanya wajib dilaporkan oleh Perusahaan kepada Otoritas Jasa Keuangan (“OJK”) sebagaimana dimaksud dalam Peraturan OJK Transaksi Afiliasi dan Transaksi Benturan Kepentingan (POJK No. 42/POJK.04/2020), khususnya pada pasal 6 angka 1 butirc. Di mana sifat hubungan Afiliasi adalah sebagai berikut: a. PT. SIJ adalah Entitas Anak yang 99,0096 kepemilikan sahamnya dimiliki Perseroan. b. PT. SMI merupakan perusahaan afiliasi yang berkedudukan di Depok, bergerak di bidang retail suku cadang otomotif dengan merk dagang toko “Planet Ban”. The transaction object is a piece of land and a building, specially shop houses number 1 and 2, floor 1 located at Jalan Mayjend Sungkono No. 1, Segoromadu, Kebomas, Gresik, with a rental value of Rp. 171.000.000 and excluding taxes (the lease period is from 13 September, 2023 to 12 September, 2026). The transactions described in this Disclosure of Information is an Affiliated Transactions that the Company is only reguired to report to the Financial Services Authority (“OJK”) as defined in OJK Regulation on Affiliated Transactions and Conflict of Interest Transactions (POIK No. 42/POJK.04/2020), specially under article 6 point 1 sub-point c. The nature of the Affiliate relationship is as follows: a. PT. SIJ is ad subsidiary entity whose 99.009 share ownership is owned the Company. b. PT. SMI is an affiliated company domiciled in Depok, engaged in the retail of automotive spare parts retail business under the trade name “Planet Ban”.
