Publik dan Keputusan Direksi Bursa Efek Indonesia No. Kep-00066/BEI/09-2022 tanggal 30
September 2022 perihal Perubahan Peraturan No. I-E tentang Kewajiban Penyampaian Informasi,

Pursuant to the provisions of the Financial Services Authority Regulation No. 31IPOJK. 0412015 dated 16
December 2015 concerning Disclosure of Material Information or Facts by the Issuers or Public
Companies and Decree of the Board of Directors of the Indonesia Stock Exchange No. Kep-
00066/BEI/09-2022 dated 30 September 2022 concerning Amendment to the Regulation No. I-E
regarding the Obligation for Submitting Information, we, on behalf of PT Sunindo Pratama Tbk ("The
Company") hereby submit the report on Material Information or Facts as follows:

Types of Material Information or Facts perseroan terbatas yang didirikan dan berdomisili
hukum di Batam, Kepulauan Riau, Indonesia, yang
merupakan anak perusahaan Perseroan yang
dikendalikan secara langsung oleh Perseroan dengan
kepemilikan saham sebesar 99,96% menandatangani
Perjanjian Kredit dengan PT Bank Hibank Indonesia
(dahulu dikenal dengan PT Bank Mayora).
PT Rainbow Tubulars Manufacture ("RTM"), a limited
liability company established and domiciled in Batam,
Riau Islands, Indonesia, which is a subsidiary of the
Company and directly controlled by the Company with
99.96% share ownership, signed a Credit Agreement
with PT Bank Hibank Indonesia (previously known as
PT Bank Mayora).
Uraian Informasi atau Fakta Material! Pada tanggal 8 September 2023, RTM telah

Indonesia (dahulu dikenal dengan PT Bank Mayora)
("Bank"), dimana RTM memperoleh kredit dari Bank
hingga jumlah pokok sebesar Rp 63.000.000.000
(enam puluh tiga miliar Rupiah).
On September 8, 2023, RTM signed a Credit
Agreement with PT Bank Hibank Indonesia (previously
known as PT Bank Mayora) (lithe Bank'), whereby
RTM obtained a credit from the Bank up to a principal
amount of lOR 63,000,000,000 (sixty three billion
Rupiah).

Tujuan kredit adalah untuk pembelian mesin produksi
yang akan dipasang pada Tanah dan
Bangunan/Workshop yang berlokasi di JI. Brigjen
Katamso KM 18, Batam.
The purpose of the credit is to purchase production
machinery to be installed on Land and
Building/Workshop located on JI. Brigjen Katamso KM
18, Batam.
Tanggal jatuh tempo fasilitas adalah 84 (delapan
puluh empat) bulan tidak termasuk Availability Period
dan Grace Period selama 12 (dua belas) bulan
sehingga akan berakhir pada tanggal 8 September
2031.
The maturity date of the facility is 84 (eighty four)
months exclude Availability Period and Grace Period
for 12 (twelve) months thus will expire on the date of
September 8, 2031.
Fasilitas kredit yang diperoleh RTM dari Bank tersebut
dijamin dengan:
1. Sebidang tanah dan bangunan atas sertifikat:
Sertifikat Hak Guna Bangunan (SHGB) No. 13093/
Tanjung Uncang, atas sebidang tanah
sebagaimana diuraikan dalam Surat Ukur tanggal
31 Agustus 2015 No. 01640, seluas 7.500 m2
(tujuh ribu lima ratus meter persegi) terdaftar atas
nama PT Rainbow Tubulars Manufacture
berkedudukan di Kawasan Perindustrian Latrade
Blok G No.5, Kota Batam, yang akan dibebankan
Hak Tanggungan Peringkat II (kedua), dengan
nilai hak tanggungan sebesar Rp 20.000.000.000
(dua puluh miliar Rupiah).
2. Akta Perjanjian Kredit Induk tanggal 8 September
2023 No. 65 yang akan dibebankan nilai
penjaminan fidusia sebesar Rp 111.484.098.096
(seratus sebelas miliar empat ratus delapan puluh
empat juta sembilan puluh delapan sembilan
puluh enam Rupiah).

The credit facility obtained by RTM from the Bank are
secured by:
1. A plot of land and building on certificate:
Certificate of Building Use Rights (SHGB) No.
130931Tanjung Uncang, on a plot of land as stated
in the Survey Letter dated August 31, 2015
No. 01640 with an area of 7,500 m2 (seven
thousand five hundred square meters) registered
on behalf of PT Rainbow Tubulars Manufacture
domiciled in Latrade Industrial Park Block G No.5,
Batam City, that will be subject to Second Rank of
Mortgage Rights, with the value of the mortgage
rights amount lOR 20,000,000,000 (twenty billion
Rupiah).
2. Deed of Parent Credit Facility dated September 8,
2023 No. 65 that will be subject to the value of
fiduciary guarantee amount /OR 111,484,098,096
(one hundred eleven billion four hundred eighty
four million ninety eight nine ninety six Rupiah).

finance the purchase of 1 unit of new production
machinery (pipe manufacturing) that will be installed
on Land and Building/Workshop located on JI. Brigjen
Katamso KM 18, Batam, which is part of the plan to
increase OCTG tubing production capacity owned by
RTM which will strengthen the Company's position in
the OCTG tubing industry in Indonesia, and has the
potential to increase market share and increase the
contribution of OCTG tubing products to the
Company's revenue in the foreseeable future.

Keterangan lain I Nilai keseluruhan Transaksi adalah lebih rendah dan

berdasarkan laporan keuangan Perseroan tanggal 30
Juni 2023 sebagaimana diatur dalam Peraturan OJK
No. 17/POJK.04/2020 tentang Transaksi Material dan
Perubahan Kegiatan Usaha ("POJK No.17/2020 H).
Dengan demikian Transaksi ini bukan merupakan
Transaksi Material sebagaimana dimaksud dalam
POJK No. 17/2020.
The total value of the Transaction is lower than 20%
(twenty percent) of the Company's equity based on the
Company's financial reports as at June 30, 2023, as
stipulated in OJK Regulation No. 171POJK.0412020
concerning Material Transactions and Changes in
Business Activities ("POJK No. 17/2020"). Thus, this
Transaction, is not a Material Transaction as referred
to in POJK No. 1712020.
Transaksi ini bukan merupakan Transaksi Afiliasi
sebagaimana diatur dalam Peraturan OJK No.
42/POJK.04/2020 tentang Transaksi Afiliasi dan
Transaksi Benturan Kepentingan mengingat tidak
adanya hubungan afiliasi antara RTM selaku Pembeli
dengan Pihak Penjual yaitu MOM dan Transaksi tidak
mengandung Benturan Kepentingan.
This transaction is not an Affiliated Transaction as
stipulated in OJK Regulation No. 421POJK.0412020
concerning Transaction of Affiliation and Transaction
of Conflict of Interest considering that there is no
affiliation relationship between RTM as the Buyer and
MOM as the Seller and Transaction does not contain
any Conflicts of Interest.
