SL, TOwER UT BERSAMA AN GROUP 3. | Uraian Informasi atau Fakta | Merujuk kepada Keterbukaan Informasi Perseroan pada Material / Description of | tanggal 15 Agustus 2023 perihal Pengalihan Saham Hasil Material Information or Fact Pembelian Kembali Saham Perseroan (“Keterbukaan”), bersama ini kami sampaikan bahwa Perseroan telah menjual Saham Hasil Pembelian Kembali Saham (“Saham Treasuri”) sebanyak 81.585.300 saham kepada Bersama Digital Infrastructure Asia Pte Ltd pada tanggal 4 dan 6 September 2023 (“Penjualan Saham Treasuri”). Harga dari Penjualan Saham Treasuri tersebut sebesar Rp 2.055 per saham. Oleh karenanya harga dari Penjualan Saham Treasuri telah sesuai dengan ketentuan Peraturan Otoritas Jasa Keuangan No. 2/POJK.04/2013 tentang Pembelian Kembali Saham Yang Dikeluarkan Oleh Emiten atau Perusahaan Publik Dalam Kondisi Pasar Yang Berfluktuasi Secara Signifikan sebagaimana disebutkan dalam Keterbukaan dimaksud. Jumlah dana yang diterima dari pengalihan ini adalah sebesar Rp 167.657.791.500 sebelum dikurangi biaya transaksi. Setelah pelaksanaan Penjualan Saham Treasuri ini, maka Perseroan masih memilki 20.460.700 saham hasil pembelian kembali Perseroan. In accordance with the Company's Information Disclosure dated August 15, 2023 related to the Sale of Buyback Shares (the “Disclosure”), we hereby inform you that the Company has sold the Buyback Shares (the “Treasury Shares”) of 81,585,300 shares to Bersama Digital Infrastructure Asia Pte Ltd on September 4 and 6, 2023 (the “Sale of Treasury Shares”). The price of the Sale of Treasury Shares is in the amount of Rp. 2,055 per share. Therefore, the price of the Sale of Treasury Shares has complied with the provisions of the Financial Services Authority Regulation No. 2/POJK.04/2013 on Buyback Issued by Issuers or Public Companies in Significantly Fluctuating Market as previously mentioned in the Disclosure. The amount of funds received from this sale of Treasury Shares is IDR 167,657,791,500 before deducting any transaction fees. After this sale of Treasury Shares, the Company still has 20,460, 700 treasury shares.
