indonet A Digital Edge Company ini ditujukan untuk menunjang kegiatan usaha/operasional EDG. Nilai Transaksi Jumlah pokok pinjaman awal yang diberikan oleh Perseroan adalah Rp.14.500.000.000 (empat belas miliar lima ratus juta Rupiah). Perseroan memberikan tambahan pokok pinjaman sebanyak- banyaknya sebesar Rp.105.500.000.000 (seratus lima miliar lima ratus juta Rupiah), sehingga jumlah pokok pinjaman seluruhnya menjadi sebanyak- banyaknya sebesar Rp.120.000.000.000 (seratus dua puluh miliar Rupiah). Tambahan pinjaman diberikan dengan bunga Hoating interest rate kecuali disepakati lain secara tertulis oleh para pihak, untuk jangka waktu 1 (satu) tahun sejak tanggal penarikan. Transaksi yang dilakukan tersebut tidak memenuhi batasan — material — yang ditetapkan dalam POJK 17 sehingga dapat disimpulkan bahwa transaksi — yang dilakukan bukan merupakan Transaksi Material sebagaimana diatur dalam POJK 17. Transaksi Afiliasi ini merupakan Transaksi Afiliasi yang dikecualikan berdasarkan Pasal 6 ayat (1) huruf b POJK 42/2020, dimana Perseroan memiliki 99,83”o saham dari seluruh modal disetor dalam EDG. Value of Transaction The initial principal loan amount provided by the Company is Rp.14,500,000,000 (fourteen billion five hundred million Rupiah). The Company provides — an — additional principal loan of up to Rp.105,500,000,000 (one hundred five billion five hundred million Rupiah), making the total principal loan amount up to Rp.120,000,000,000 (one hundred and twenty billion Rupiah). The additional loan is provided with floating interest rate, unless otherwise agreed in writing by the parties, for a term of 1 (one) year from the date of disbursement. The transaction caried out does not meet the materiality threshold set forth in POJK 17, therefore it can be concluded that the transaction is not considered a Material Transaction as stipulated in POJK 17. This Affiliate Transaction is an exempted Affiliate Transaction based on Article 6 paragraph (1) letter b of POJK 42/2020, where the Company owned 99.83Yo shares from the total paid-up capital in EDG.
