Controlled Company
3. Uraian Informasi Pada tanggal 1 September 2023 telah ditandatangani
Information Description Perjanjian Pengikatan Jual Beli (“PPJB”) antara Perusahaan
dan PT Sentral Grain Terminal (“SGT”) atas bangunan
gudang (area SGT -1) beserta seluruh fasilitasnya di
Kelurahan Tegal Ratu, Kecamatan Ciwandan, Kota Cilegon
(“Gudang”), dengan syarat dan ketentuan sebagai berikut:
1) PPJB tersebut mengatur syarat – syarat
pendahuluan, sebelum Para Pihak menandatangani
Perjanjian Jual Beli atas Gudang (“AJB”);
2) Salah satu syarat pendahuluan (condition
subsequent) sebelum ditandatangani AJB adalah
diselesaikannya proses administratif terkait
penghapusan (roya) jaminan atas Gudang tersebut
yang saat ini sedang dalam proses pengurusan.
3) SGT menjual Gudang kepada FKS dengan harga
sebesar Rp50.000.000.000,- (lima puluh miliar
Rupiah);
On September 1, 2023, a Conditional Sale and Purchase
Agreement ("PPJB") was signed between the Company and
PT Sentral Grain Terminal ("SGT") over the warehouse
building of the SGT -1 area in Tegal Ratu Village, Ciwandan
District, Cilegon City ("Warehouse"), with terms and
conditions as follows:
1) The PPJB contained the preliminary conditions,
before the Parties will sign the Sale and Purchase
Agreement for the Warehouse ("AJB").
2) One of the preliminary terms (subsequent conditions)
before the AJB can be executed is the completion of
the administrative process related to the removal
(roya) of collateral for the Warehouse which is
currently in the process of completion.
3) The value of the Agreement is Rp50.000.000.000,-
(fifty billion Rupiah).
4. Dampak kejadian Informasi atau Pengalihan ini bertujuan untuk meningkatkan efektivitas dan
fakta material tersebut terhadap kinerja operasional Gudang secara keseluruhan, sehingga ke
kegiatan operasional, hukum, depannya dapat meningkatkan nilai tambah bagi Perseroan

company with indirect share ownership of more than 99%.
This transaction is not a material transaction as the
Agreement Value does not reach 20% of the Company's
equity.
