Fakta Material 1. PT Sinar Eka Selaras Tbk (“SES”) didirikan pada Tahun
2009, merupakan anak perusahaan terkendali dengan

kepemilikan secara langsung dengan persentase
kepemilikan 79,9998% oleh Perseroan. SES telah
berhasil mencatatkan Sahamnya di Bursa Efek
Indonesia pada tanggal 8 Agustus 2023. SES
merupakan Badan Hukum berbentuk Perseroan
Terbatas yang didirikan dan tunduk berdasarkan hukum
negara Republik Indonesia.
2. MST Golf Group Berhad. (“MST Golf”) merupakan suatu
Perseroan Terbatas yang didirikan dan tunduk
berdasarkan hukum negara Malaysia.
b. Hubungan antara pihak-pihak yang bertransaksi.
Tidak ada hubungan afiliasi antara pihak-pihak yang
melakukan transaksi.
c. Tujuan Transaksi
Para Pihak yang bertransaksi akan membentuk suatu
Perusahaan Patungan yang direncanakan akan diberi nama
PT MST Golf Indonesia ("MGI") atau nama lain yang sesuai
sebagaimana disetujui oleh Kementerian Hukum dan Hak
Asasi Manusia ("Kemenkumham") Republik Indonesia, untuk
menjalankan Bisnis Peralatan, Perlengkapan dan Aksesoris
Golf dan Golf Apparels di Indonesia.
d. Nilai Transaksi
Nilai Investasi saat ini sebesar Rp. 10.100.000.000,- (sepuluh
milyar seratus juta Rupiah) atau setara dengan RM. 3,06 juta
(tiga koma nol enam juta Ringgit Malaysia). Dengan
Persentase Saham dan kepemilikan sebagai berikut :

Nilai Nominal Saham : Rp. 1.000.000,- (satu juta Rupiah) per
lembar saham
1. SES : 49% (setara dengan 4.949 lembar saham) atau
senilai Rp. 4.949.000.000 (empat milyar sembilan ratus
empat puluh sembilan juta Rupiah)
2. MST Golf : 51% (setara dengan 5.151 lembar saham)
atau senilai Rp. 5.151.000.000 (lima milyar seratus lima
puluh satu juta Rupiah)
e. Sumber Dana Transaksi
Seluruh Biaya yang timbul dalam Investasi SES ini berasal
dari Internal Kas SES.
Description of Material a. Parties in the Transaction.
Information or Facts 1. PT Sinar Eka Selaras Tbk (“SES") was established in
2009, a controlled subsidiary by the Company with direct
ownership with a percentage of 79,9998% ownership by
the Company. SES has successfully listed its Shares on
the Indonesia Stock Exchange on August 8, 2023. SES
is a Legal Entity in the form of a Limited Liability
Company established and subject to the laws of the
Republic of Indonesia.

2. MST Golf Group Berhad. ("MST Golf") is a Limited
Liability Company incorporated and subject to the laws
of Malaysia.
b. Relations among the Parties in the Transaction.
There is no affiliation relationship between the parties in the
transaction.
c. Transaction Purpose.
The Parties in the Transaction will form a Joint Venture
Company which is planned to be named PT MST Golf
Indonesia ("MGI") or other appropriate name as approved by
the Ministry of Law and Human Rights ("Kemenkumham") of
the Republic of Indonesia, to conduct Golf Equipment, Golf
Accessories, and Golf Apparels Business in Indonesia.
d. Transaction Value
Current Investment Value of IDR. 10.100.000.000,- (ten billion
one hundred million Rupiah) or equivalent to RM. 3.06 million
(three point zero six million Malaysian Ringgit). With the
Percentage of Shares and ownership as follows:
Capital Structure of MGI
Nominal Value of Shares : Rp. 1.000.000,- (one million
Rupiah) per share.
1. SES: 49% (equivalent to 4,949 shares) or Rp.
4,949,000,000 (four billion nine hundred forty-nine
million Rupiah)
2. Golf MST: 51% (equivalent to 5,151 shares) or Rp.
5,151,000,000 (five billion one hundred fifty one million
Rupiah)
e. Source of Funds
All the cost incurred in the SES's Investment come from SES
Internal Cash.
4. Dampak Kejadian, Dengan dibentuknya Perusahaan Patungan akan memberikan
informasi atau fakta dampak pada bertambahnya lini bisnis yang dimiliki oleh SES
material terhadap dan Perseroan.
