Uraian Informasi atau Fakta Material a. Jenis transaksi : Pengambilalihan seluruh saham PT
Khatulistiwa Sinergi Omnidaya oleh Perseroan dan anak
perusahaannya.
b. Pihak-pihak yang bertransaksi :
i. PT Sjiar Dahan Zaitun (SJADZ);
ii. PT Embun Rindang Optima (ERO);
iii. PT Menthobi Makmur Lestari (MMAL); dan
iv. PT Menthobi Karyatama Raya, Tbk (Perseroan).
("Para Pihak")
c. Pada tanggal 28 Agustus 2023, SJADZ dan ERO selaku
seluruh pemegang saham dalam PT Khatulistiwa Sinergi
Omnidaya (KSO), suatu perusahaan pengelolaan kelapa sawit
dengan kapasitas 30 TPH yang berlokasi di Lamandau,
menjual seluruh kepemilikan sahamnya kepada Perseroan
sebesar 60% dan MMAL sebesar 40% dari seluruh saham
yang dikeluarkan KSO. MMAL adalah salah satu anak
perusahaan Perseroan yang sahamnya dimiliki oleh Perseroan
sebesar 99,5%
d. Setelag transaksi-transaksi jual beli yang dissebutkan pada
huruf c di atas, MKTR dan MMAL akan memiliki 17.000 lembar
saham KSO yang mewakili 100% dari seluruh saham yang
dikeluarkan KSO dengan rincian sebagai berikut :
i. MKTR memiliki 10.200 lembar saham KSO yang mewakili
60% dari seluruh saham yang dikeluarkan KSO; dan
ii. MMAL memiliki 6.800 lembar saham KSO yang mewakili
40% dari seluruh saham yang dikeluarkan KSO
e. Nilai transaksi yaitu jual beli 100% dari saham yang
dikeluarkan KSO adalah Rp 18.666.000.000 (delapan belas
miliar enam ratus enam puluh enam juta Rupiah)
f. Nilai transaksi tidak melebihi 20% dari ekuitas Perseroan,
sehingga Transaksi tidak termasuk ke dalam trnasaksi material
sebagaimana dimaksud dalam Peraturan OJK No.
17/POJK.04/2022 tentang Transaksi Material dan Perubahan
Kegiatan Usaha.
Dampak kejadian, informasi atau fakta Transaksi tidak memiliki dampak material terhadap kegiatan
material tersebut terhadap kegiatan operasional, kondisi keuangan, hukum ataupun kelangsungan
operasional, hukum, kondisi keuangan, usaha Perseroan.

Description of Material Information or a. Type of transaction : Acquisition of all shares of PT
Facts Khatulistiwa Sinergi Omnidaya by the Company and its
subsidiaries.
b. Parties to the transaction :
i. PT Sjiar Dahan Zaitun (SJADZ);
ii. PT Embun Rindang Optima (ERO);
iii. PT Menthobi Makmur Lestari (MMAL); and
iv. PT Menthobi Karyatama Raya, Tbk (the Company).
("The Parties")
c. On August 28, 2023, SJADZ and ERO as all shareholders of
PT Khatulistiwa Sinergi Omnidaya (KSO), a palm oil mill with a
capacity of 30 TPH located in Lamandau, sold all of its shares
to the Company amounting to 60% and MMAL amounting to
40% of all shares issued by KSO. MMAL is one of the
Company's subsidiaries which 99.5% owned by the Company.
d. After the sale and purchase transactions mentioned in letter
c above, MKTR and MMAL will own 17,000 shares of KSO
representing 100% of all shares issued by KSO with the
following details:
i. MKTR owns 10,200 KSO shares representing 60% of all
issued shares of KSO; and
ii. MMAL owns 6,800 KSO shares representing 40% of all
issued shares of KSO
e. The sale and purchase of 100% of the shares issued by
KSO is
Rp 18.666.000.000,- (eighteen billion six hundred sixty six
million
Rupiah).
f. The Value of the Transaction does not exceed 20% of the
Company's equity, therefore the transaction is not a material
transactions as referred to in OJK Regulation No.
17/POJK.04/2022 on Material Transaction and Change of
Business Activities.
