Bursa Efek Jakarta tentang Kewajiban Penyampaian
Informasi, PT Darma Henwa Tbk (Perseroan) melakukan
keterbukaan informasi sebagai berikut:
Pada tanggal 24 Agustus 2023 PT Darma Henwa Tbk
mendirikan anak perusahaan baru yaitu PT DH Konstruksindo.
PT DH Konstruksindo bergerak dalam bidang konstruksi.
Perseroan memiliki 99,90% saham dalam PT DH
Konstruksindo, dan sisanya sebesar 0,10% milik PT Cipta
Multi Prima.
PT Cipta Multi Prima adalah anak perusahaan Perseroan yang
bergerak dalam bidang macam-macam jasa.
Tujuan pendirian PT DH Konstruksindo tersebut adalah
sebagai strategi pengembangan bidang usaha Perseroan di
bidang konstruksi yang diharapkan dapat memperkuat struktur
bisnis dan meningkatkan nilai tambah Perseroan di masa
yang akan datang.

Dampak kejadian, informasi atau fakta 1. Dampak pendirian PT DH Konstruksindo terhadap
material tersebut terhadap kegiatan kegiatan operasional Perseroan:
operasional, hukum, kondisi keuangan, Pendirian PT DH Konstruksindo adalah sebagai strategi
atau kelangsungan usaha Emiten atau pengembangan usaha yang bertujuan untuk memperkuat
Perusahaan Publik struktur bisnis yaitu di bidang konstruksi dan memberikan nilai
tambah Perseroan untuk masa yang akan datang. Pendirian
PT DH Konstruksindo tersebut akan membuka peluang bagi
Perseroan untuk mengembangkan usaha di bidang konstruksi
yang lebih luas, baik konstruksi sipil pertambangan maupun
nonpertambangan.
2. Dampak pendirian PT DH Konstruksindo terhadap
hukum:
Tidak ada dampak hukum dari pendirian PT DH
Konstruksindo.
3. Dampak pendirian PT DH Konstruksindo terhadap
kondisi keuangan Perseroan:
Pendirian PT DH Konstruksindo merupakan strategi
pengembangan usaha dan investasi Perseroan di anak
perusahaan yang akan berdampak pada kinerja keuangan
Perseroan pada saat perusahaan tersebut beroperasi dan
mendapatkan proyek di masa yang akan datang. Jika sudah
beroperasi, akan dapat meningkatkan kinerja keuangan
Perseroan dengan adanya tambahan pendapatan dari anak
perusahaan tersebut.
4. Dampak pendirian PT DH Konstruksindo terhadap
kelangsungan usaha Perseroan:
Kelangsungan usaha Perseroan jadi lebih baik karena
akan memperkuat struktur bisnis Perseroan di masa yang
akan datang.

Disclosure of Information about PT Darma Henwa Tbk (the
Type of Material Information or Facts Company) Establishing a New Subsidiary: PT DH
Konstruksindo.
Description of Material Information or In accordance with the Financial Services Authority Regulation
Facts Number 31/POJK.04/2015 concerning Disclosure of
Information or Material Facts and Regulation No. 1-E Decision
of the Board of Directors of the Jakarta Stock Exchange
regarding Obligations for Submitting Information, PT Darma
Henwa Tbk (the Company) discloses the following information:
On August 24, 2023 PT Darma Henwa Tbk established a new
subsidiary, namely PT DH Konstruksindo.
PT DH Konstruksindo is engaged in construction. The
company owns 99.90% of shares in PT DH Konstrukindo, and
the remaining 0.10% belongs to PT Cipta Multi Prima.
PT Cipta Multi Prima is a subsidiary of the Company engaged
in various services.
The purpose of establishing PT DH Konstruksindo is as a
strategy for developing the Company's business sector in the
construction sector which is expected to strengthen the
business structure and increase the Company's added value in
the future.

law:
There is no legal impact from the establishment of PT DH
Konstruksindo.
3. The impact of the establishment of PT DH Konstruksindo on
the financial condition of the Company:
The establishment of PT DH Konstruksindo is a business
development strategy and the Company's investment in
subsidiaries which will have an impact on the Company's
financial performance when the company operates and obtains
projects in the future. If it is already operating, it will be able to
improve the Company's financial performance with additional
income from the subsidiary.
4. The impact of the establishment of PT DH Konstruksindo on
the continuity of the Company's business:
The contiunity of the Company's business will be better
because it will strengthen the Company's business structure in
the future.
