Uraian Informasi atau Fakta Material Merujuk pada surat Perseroan sebelumnya No.SKL.
031/2023/PRESDIR tanggal 16 Februari 2023 perihal Laporan
Informasi atau Fakta Material (Persetujuan Prinsip Pendirian
PT Bank Nano Syariah Hasil Pemisahan Unit Usaha Syariah
PT. Bank Sinarmas Tbk), maka dengan ini disampaikan
Perseroan telah memperoleh Persetujuan Ijin Usaha dari
Otoritas Jasa Keuangan untuk melakukan Pemisahan UUS
dengan mendirikan Bank Umum Syariah baru dengan nama
PT. Bank Nano Syariah bersama-sama dengan PT. Sinar Mas
Multiartha Tbk. dan PT. Asuransi Sinar Mas, berdasarkan
Keputusan Anggota Dewan Komisioner Otoritas Jasa
Keuangan Nomor KEP-61/D.03/2023 tentang Pemberian Izin
Usaha PT. Bank Nano Syariah Hasil Pemisahan Unit Usaha
Syariah tanggal 23 Agustus 2023.
1. Pemisahan Unit Usaha Syariah Perseroan dengan
mendirikan Bank Umum Syariah baru hasil Pemisahan
bernama PT. Bank Nano Syariah sebagai pemenuhan
kewajiban berdasarkan Undang-Undang No. 21 Tahun 2008
tentang Perbankan Syariah sebagaimana terakhir diubah
dengan Undang-Undang No. 4 Tahun 2023 tentang
Pengembangan dan Penguatan Sektor Keuangan (UUPS) dan
berdasarkan keputusan Rapat Umum Pemegang Saham Luar
Biasa PT. Bank Sinarmas Tbk. tanggal 14 Juni 2022.
2. Pihak yang mendirikan PT. Bank Nano Syariah
adalah Perseroan, PT. Sinar Mas Multiartha Tbk., PT Asuransi
Sinar Mas
3. Nilai Transaksi: Rp 510.000.000.000,00
4. Tujuan Transaksi: Setoran modal PT. Bank Sinarmas
Tbk.
5. Sumber Dana yang digunakan untuk setoran modal
pendirian PT. Bank Nano Syariah adalah dana internal
Perseroan.

pemisahan harus melakukan kegiatan operasional paling lama
60 hari kerja sejak ijin usaha diterbitkan.
Dengan dilakukannya kegiatan operasional PT. Bank Nano
Syariah sebagai Bank Umum Syariah hasil pemisahan, maka
seluruh nasabah dan kegiatan operasional Unit Usaha Syariah
PT. Bank Sinarmas Tbk. berpindah kepada PT. Bank Nano
Syariah.
Sebelum kegiatan operasional PT. Bank Nano Syariah
dilakukan, nasabah Unit Usaha Syariah PT. Bank Sinarmas
Tbk. tetap dapat melakukan transaksi dan layanan
sebagaimana biasanya.
Hukum
Seluruh aktiva dan Pasiva Perseroan yang tercatat pada
neraca UUS beralih hukum kepada PT. Bank Nano Syariah
pada tanggal efektif pemisahan.
Kondisi Keuangan
Pemisahan UUS tidak akan berdampak terhadap kondisi
keuangan Perseroan.
Total aset Perseroan setelah pemisahan UUS akan tetap
terjaga di atas 40 triliun. Seiring dengan peningkatan kinerja
intermediasi Peseroan, maka laba yang dihasilkan serta total
asset diprediksi akan terus bertumbuh di tahun mendatang.
Ringkasan kinerja perseroan hingga periode 30 Juni 2023
sebagaimana terlampir dalam surat Perseroan.

(Agreement of the Principles of Establishment of PT Bank
Nano Syariah Results of Separation of the Sharia Business
Unit of PT. Bank Sinarmas Tbk.), the Company has obtained
the Business License Agreement from the Financial Services
Authority to Separate the UUS by establishing a new Sharia
Commercial Bank under the name of PT. Bank Nano Syariah
together with PT. Sinar Mas Multiartha Tbk. and PT. Asuransi
Sinar Mas, based on the Decision of the Board of
Commissioners of the Financial Service Authority No. KEP-
61/D.03/2023 on Granting of Business License to PT. Bank
Nano Syariah result of separation of Sharia Business Unit on
August 23,2023.
1. Separation of the Sharia Business Unit of the Company with
the establishment of a new Sharia Commercial Bank resulted
from the separation named PT. Bank Nano Syariah as
fulfilment of obligations under Law No. 21 of 2008 on Sharia
Banking as last amended by Law No. 4 of 2023 on
Development and Strengthening of the Financial Sector
(UUPS) and on the basis of the decision of the Extraordinary
General Meeting of Shareholders of PT. Bank Sinarmas Tbk.
on June 14, 2022.
2. The party that founded PT. Nano Bank Shariah is the
Company, PT. Sinar Mas Multiartha Tbk., PT.
Asuransi Sinar Mas
3. Transaction value: Rp 510,000,000,000.00
4. Purpose of the transaction: Deposit of capital of PT. Bank
Sinarmas Tbk.
5. The source of funds used for the capital deposit of the
establishment of PT. Nano Bank Shariah is the internal fund of
the Company.

Operational Activities
In accordance with Regulations of the Financial Services
Authority (POJK) No. 12 Year 2023 concerning Sharia
Business Unit that PT Bank Nano Syariah as Sharia General
Bank resulting from the separation must carry out operational
activities for a maximum of 60 working days since the issuance
of the business permit.
By doing so, the operational activities of the Bank Nano
Syariah as Sharia General Bank resulted from the separation,
then the entire customer and operational activity of Sharia
Business Unit of the PT. Bank Sinarmas Tbk. transferred to
the Bank Nano Syariah.
Before the operational activities of the PT Bank Nano Syariah
were carried out, customers of Sharia Business Unit of the PT.
Bank SInarmas Tbk. were able to carry out transactions and
services as usual.
Law
All assets and liabilities of the Company recorded in the UUS
balance sheet are transferred to the PT Bank Nano Syariah at
the effective date of the separation.
Financial Condition
The separation of the UUS will not affect the financial condition
of the Company.
The total assets of the Company after the separation of the
UUS will remain awake above 40 trillion. As the performance
of the Intermediary improves, the profits generated and the
total asset predicted will continue to grow in the years to come.
A summary of the performance of the company until June 30,
2023 will be attached to the letter of the Company.
