Fakta Material a. Penerbit
Erajaya Digital Pte. Ltd. (“ERAD”) merupakan Perusahaan
Terkendali dengan Kepemilikan Tidak Langsung oleh
Perseroan melalui Erajaya Holding Pte. Ltd. (“EH”) dengan
kepemilikan 100% dimiliki oleh Perseroan. ERAD merupakan
Perseroan Terbatas yang didirikan dan tunduk berdasarkan
hukum negara Singapura.
b. Penjamin
Credit Guarantee and Investment Facility (“CGIF”), CGIF
merupakan Institusi yang didirikan sebagai trust fund dari
Asian Development Bank (“ADB”) yang memiliki arti bahwa
walaupun secara operasional dan keuangan terpisah dari
ADB, namun secara hukum bukan merupakan badan hukum
yang terpisah. Kantor Pusat CGIF berlokasi di Manila, Filipina.
c. Penjamin Pelaksana Efek
Morgan Stanley Asia (Singapore) Pte. dan DBS Bank Ltd.
Kedua Institusi tersebut sebagai Joint-Lead Managers pada
Transaksi tersebut.
d. Bursa Efek Terdaftar
Singapore Exchange Securities Trading Limited (“SGX-ST”)
merupakan Bursa Efek di Singapura.
Hubungan antara pihak-pihak yang bertransaksi.
a. ERAD selaku penerbit adalah Perusahaan Terkendali dengan
Kepemilikan Tidak Langsung oleh Perseroan melalui EH
dengan kepemilikan 100% dimiliki oleh Perseroan.
b. Tidak ada hubungan afiliasi antara pihak-pihak yang
melakukan transaksi.
Hasil Pemeringkatan Efek
AA oleh Standard & Poor’s (“S&P”) yang merupakan Lembaga
Pemeringkat Efek Bersifat Kredit yang menyediakan pelayanan
dalam pelaporan kredit dagang dan konsumen secara global.

Nilai Transaksi
Nilai Nominal Bonds yang diterbitkan oleh ERAD adalah sebesar
SGD. 50.000.000,-. Dengan rincian sebagai berikut :
a. Nilai Prinsipal : SGD. 50.000.000,-
b. Frekuensi Kupon : Semi-Annual
c. Tanggal Kupon Berakhir : 24 Agustus 2026

Untuk belanja modal dan investasi perusahaan di Singapura and
Malaysia.

Information or Facts a. Issuer
Erajaya Digital Pte. Ltd. ("ERAD") is a Controlled Company
with Indirect Ownership by the Company through Erajaya
Holding Pte. Ltd. ("EH") with 100% ownership is owned by the
Company. ERAD is a Limited Liability Company incorporated
and subject to the laws of Singapore.
b. Guarantor
Credit Guarantee and Investment Facility ("CGIF"), CGIF is an
institution established as a trust fund of the Asian
Development Bank ("ADB") which means that although
operationally and financially separate from ADB, it is not
legally a separate legal entity. CGIF Headquarters is located in
Manila, Philippines.
c. Underwriter
Morgan Stanley Asia (Singapore) Pte. and DBS Bank Ltd.
Both Institutions serve as Joint-Lead Managers on the
Transaction.
d. Listed Stock Exchange
Singapore Exchange Securities Trading Limited ("SGX-ST") is
the Stock Exchange in Singapore.
The Relationship between the Transactions Parties.
a. ERAD as the issuer is a Controlled Company with Indirect
Ownership by the Company through EH with 100% ownership
owned by the Company.
b. There is no affiliation between the transactions parties.
Credit Rating
AA by Standard & Poor's (S&P) as a Credit Rating Agency which
provides mercantile and consumer credit reporting services. S&P

Value of Transactions
The nominal value of Bonds issued by ERAD is total SGD.
