dan Keterbukaan Informasi Perseroan No. 094/CSDSS-
08/2023 tanggal 10 Agustus 2023. Istilah-istilah yang
digunakan dalam keterbukaan informasi ini memiliki arti
sebagaimana diberikan dalam Keterbukaan Informasi 26 April
2023.
Pada tanggal 21 Agustus 2023, Perseroan telah melakukan
pembelian Saham GEMS dari Pemegang Saham Yang Berhak
Atas Dana Tunai, yang menyebabkan Perseroan memiliki
55,42% Saham GEMS secara langsung.
Dengan transaksi ini, seluruh rangkaian Rencana Transaksi
telah selesai dilaksanakan.
Dampak kejadian, informasi atau fakta Penyelesaian Rencana Transaksi ini diharapkan dapat
material tersebut terhadap kegiatan meningkatkan efisiensi atas pengelolaan dan pengembangan
operasional, hukum, kondisi keuangan, usaha Perseroan serta pengambilan dan pelaksanaan
atau kelangsungan usaha Emiten atau keputusan dalam entitas anak Perseroan.

Facts No. 044/CSDSS-04/2023 dated April 26, 2023, and its
attachments ("Information Disclosure April 26, 2023") and the
Company's Information Disclosure No. 094/CSDSS-08/2023
dated August 10, 2023. Terms used in this information
disclosure have the meaning as set out in the Information
Disclosure April 26, 2023.
On August 21, 2023, the Company purchased GEMS Shares
from the Cash Entitled Shareholders, which resulted in the
Company directly owning 55.42% of GEMS Shares.
With this transaction, the entire series of the Proposed
Transaction has been completed.
Impact of event, material information or This completion of the Proposed Transaction is expected to
facts towards Issuers or Public increase efficiency in the management and development of the
Company’s operational activities, legal, Company's business as well as in the decision-making and
financial condition, or going concern implementation in the Company's subsidiaries.
