Jawaban:

Perseroan telah mengumumkan keterbukaan
informasi terkait dengan rencana restrukturisasi
internal entitas anak melalui surat Perseroan No.
044/CSDSS-04/2023 tanggal 26 April 2023.
Rencana restrukturisasi internal entitas anak akan
dilakukan melalui beberapa rangkaian transaksi,
yang meliputi rencana penerimaan saham PT
Golden Energy Mines Tbk (“GEMS”), rencana
pengalihan saham Golden Energy and Resources
Limited (“GEAR”), dan pembelian saham GEMS
yang dimiliki oleh GEAR dari pemegang saham
publik GEAR yang memilih untuk menerima dana
tunai. Setelah pelaksanaan rencana
restrukturisasi internal entitas anak, Perseroan
memiliki mayoritas saham GEMS secara langsung
dan tidak lagi memiliki saham GEAR.

Selain itu, Perseroan juga telah mengumumkan
rencana pembelian kembali saham melalui surat
Perseroan No. 073/CSDS5-06/2023 tanggal 19 Juni
2023.

Answer:

The Company has announced the disclosure of
information related to the internal restructuring
plan of its subsidiaries through the Company's
letter No. 044/CSDSS-04/2023 dated 26 April
2023. The plan for the internal restructuring of the
subsidiary will be carried out through several
series of transactions, which include the plan to
receive shares of PT Golden Energy Mines Tbk
(“GEMS”), the plan to transfer shares of Golden
Energy and Resources Limited (“GEAR”), and the
purchase of GEMS shares owned by GEAR from
GEAR's public shareholders who elect to receive
cash. Following the implementation of the
subsidiary's internal restructuring plan, the
Company owns the majority of GEMS shares
directly and no longer owns GEAR shares.

In addition, the Company has also announced the
plan to buy back shares through Company's letter
No. 073/CSDSS-06/2023 dated 19 June 2023.
