Uraian Informasi atau Fakta Material Perseroan merujuk pada Keterbukaan Informasi Perseroan
No. 044/CSDSS-04/2023 tanggal 26 April 2023 berikut
lampiran-lampirannya ("Keterbukaan Informasi 26 April 2023").
Istilah-istilah yang digunakan dalam keterbukaan informasi ini
memiliki arti sebagaimana diberikan dalam Keterbukaan
Informasi 26 April 2023.
Pada tanggal 10 Agustus 2023, Perseroan telah:
- menerima sebanyak 2.848.721.125 Saham GEMS, yang
dibagikan GEAR melalui (i) pembagian dividen saham
(dividend in specie) berupa Saham GEMS; dan (ii) penurunan
modal GEAR dengan cara pengembalian modal oleh GEAR
dalam bentuk pembagian Saham GEMS; dan
- mengalihkan seluruh Saham GEAR yang dimiliki oleh
Perseroan kepada Duchess.
Melalui rangkaian transaksi ini, Perseroan memiliki 48,43%
Saham GEMS secara langsung dan tidak lagi memiliki Saham
GEAR.
Perseroan akan memberikan keterbukaan informasi kembali
dalam hal rencana pembelian Saham GEMS dari Pemegang
Saham Yang Berhak Atas Dana Tunai telah dilaksanakan.
Dampak kejadian, informasi atau fakta Penyelesaian Rencana Transaksi ini diharapkan dapat
material tersebut terhadap kegiatan meningkatkan efisiensi atas pengelolaan dan pengembangan
operasional, hukum, kondisi keuangan, usaha Perseroan serta pengambilan dan pelaksanaan
atau kelangsungan usaha Emiten atau keputusan dalam entitas anak Perseroan.

Type of Material Information or Facts
Description of Material Information or The Company refers to the Company's Information Disclosure
Facts No. 044/CSDSS-04/2023 dated April 26, 2023, and its
attachments ("Information Disclosure April 26, 2023"). Terms
used in this information disclosure have the meaning as set
out in the Information Disclosure April 26, 2023.
On August 10, 2023, the Company:
- received 2,848,721,125 GEMS Shares, which have been
distributed by GEAR through (i) distribution of stock dividends
(dividend in specie) in the form of GEMS Share; and (ii)
reduction of GEAR's capital by means of return of capital by
GEAR in the form of distribution of GEMS Shares; and
- transferred all GEAR Shares owned by the Company to
Duchess.
Through these transactions, the Company directly owns
48.43% of GEMS Shares and no longer owns GEAR Shares.
The Company will provide another information disclosure in the
event that the plan to purchase GEMS Shares from the Cash
Entitled Shareholders has been completed.
Impact of event, material information or This completion of the Proposed Transaction is expected to
facts towards Issuers or Public increase efficiency in the management and development of the
Company’s operational activities, legal, Company's business as well as in the decision-making and
financial condition, or going concern implementation in the Company's subsidiaries.
